- This Purchase Order constitutes a binding agreement between TechNova Solutions Inc. (hereinafter "Buyer") and Bay Area Engineering Talent Group LLC (hereinafter "Supplier") for the procurement of Computer Engineer professional services to be performed in San Francisco, California, United States.
- The Computer Engineer engaged under this Purchase Order shall maintain all professional certifications, licenses, and credentials required by the State of California and the United States federal government for the practice of computer engineering. The Computer Engineer shall be available on-site at the Buyer's San Francisco facility no fewer than four (4) days per week during standard business hours.
- All deliverables, documentation, intellectual property, and work product generated by the Computer Engineer in the performance of this Purchase Order shall become the sole and exclusive property of the Buyer upon full payment. The Computer Engineer shall execute all necessary assignment documents as required by United States intellectual property law.
- Payment shall be made via wire transfer to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code provisions applicable in San Francisco, United States.
- The Supplier warrants that the Computer Engineer shall perform all services in a professional, workmanlike manner consistent with industry standards for computer engineering practice in the San Francisco technology sector. Any deficiency in performance shall be remedied at no additional cost to the Buyer within ten (10) business days of written notice.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of California and applicable United States federal law. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in San Francisco, California, United States, in accordance with the rules of the American Arbitration Association.
- Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Buyer shall compensate the Supplier for all services rendered by the Computer Engineer through the effective date of termination, less any applicable deductions for incomplete deliverables.
- The Computer Engineer shall comply with all applicable data protection regulations, including the California Consumer Privacy Act (CCPA) and any United States federal data security requirements, in the handling of all proprietary information and system data encountered during the performance of this Purchase Order.
- This Purchase Order may be amended only by a written addendum signed by authorized representatives of both parties. No oral modification shall be valid or enforceable.
