This Purchase Order authorizes the procurement of professional services rendered by a qualified Curriculum Developer engaged by EducaPro Consultores Educativos SRL. The Curriculum Developer shall be responsible for the complete design, development, review, and implementation support of a new secondary education curriculum aligned with the National Curriculum Standards (Diseño Curricular Nacional) as established by the Ministry of Education of the Argentine Republic and the Provincial Directorate of Education in Buenos Aires. All deliverables must comply with the regulatory framework applicable in Argentina Buenos Aires and meet the pedagogical standards required for public and private educational institutions operating within the jurisdiction.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the procurement of Curriculum Developer services as described herein. All work shall be performed in and around Argentina Buenos Aires unless otherwise agreed in writing.
2. The Curriculum Developer assigned to this engagement must hold a minimum of a Master's degree in Education, Curriculum Design, or a related field, and possess at least eight (8) years of documented experience in curriculum development within the Argentine educational system.
3. All deliverables must be submitted in both Spanish and English to ensure compliance with bilingual educational standards recognized in Argentina Buenos Aires.
4. Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon delivery of the curriculum framework (Item 02), and 30% upon final acceptance of all deliverables.
5. The Supplier warrants that all Curriculum Developer services shall be performed in accordance with the Argentine Labor Code (Ley de Contrato de Trabajo Nº 20.744) and applicable tax regulations of the Province of Buenos Aires.
6. Intellectual property rights for all curriculum materials developed under this Purchase Order shall vest exclusively in the Buyer upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
7. Any modifications to the scope of work must be documented through a formal amendment to this Purchase Order, signed by both parties, and shall not exceed 15% of the original contract value without a new competitive procurement process.
8. Disputes arising from this Purchase Order shall be resolved through mediation in Argentina Buenos Aires before submission to the competent courts of the Province of Buenos Aires.
9. The Supplier shall maintain professional liability insurance with a minimum coverage of ARS 5,000,000 for the duration of the engagement.
10. This Purchase Order is subject to the General Terms and Conditions of the Argentine Republic's public procurement regulations (Ley de Contrataciones Nº 30.077) where applicable.

All Curriculum Developer deliverables shall be submitted electronically via the Buyer's institutional portal and in physical format (three (3) bound copies) to the address listed in Section 2. The Buyer shall have fifteen (15) business days from the date of receipt to review and either accept or issue a written notice of non-conformity. Failure to respond within this period shall constitute deemed acceptance. The final acceptance of the complete curriculum package shall be documented through a signed Certificate of Completion issued by the Director of Academic Affairs in Argentina Buenos Aires.
