All payments under this Purchase Order shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the vendor's designated business account. Payment schedule is as follows: 30% upon execution of this Purchase Order, 40% upon delivery and acceptance of the completed Curriculum Developer framework and lesson plans, and 30% upon successful completion of the 12-month support period. Invoices shall be submitted to the procurement department of Northwest Pacific Educational Solutions Inc. in Vancouver, Canada, and are payable within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate prescribed under the British Columbia Interest Act.

The Curriculum Developer shall commence work no later than July 1, 2025, and shall deliver all primary materials by December 15, 2025. The 12-month support and revision period shall extend through December 15, 2026. All deliverables must be submitted in both digital (PDF, interactive HTML5) and print-ready formats. On-site meetings and workshops shall be conducted at the vendor's office in Vancouver, British Columbia, or at locations designated by the Buyer within the Metro Vancouver region. The Curriculum Developer is expected to maintain a minimum of 30 hours per week of dedicated professional effort during active development phases.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved through mediation in Vancouver, BC, before proceeding to litigation in the Supreme Court of British Columbia.
  2. Intellectual Property: Upon full payment, all intellectual property rights in the curriculum materials, lesson plans, digital resources, and associated documentation developed by the Curriculum Developer shall be transferred to Northwest Pacific Educational Solutions Inc. The vendor retains the right to reference the project in professional portfolios with prior written consent.
  3. Confidentiality: Both parties agree to maintain strict confidentiality regarding student data, proprietary instructional methods, and internal business strategies. This obligation survives termination of this Purchase Order for a period of five (5) years.
  4. Compliance: The Curriculum Developer shall comply with all applicable Canadian federal and provincial regulations, including the Personal Information Protection Act (PIPA) of British Columbia, the Canadian Copyright Act, and the educational standards set forth by the BC Ministry of Education.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the vendor for all work completed and documented up to the termination date.
  6. Warranties: The Curriculum Developer warrants that all deliverables shall be original, free from infringement of third-party rights, and suitable for use in accredited educational institutions within Vancouver, Canada, and the broader British Columbia region.
  7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Vancouver, BC.
  8. Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Curriculum Developer services in Vancouver, Canada, effective as of the date of the last signature.
