2. Description of Purchase — Curriculum Developer Engagement

This Purchase Order is issued by the Alexandria Educational Development Authority to formally procure the professional services of a qualified Curriculum Developer for the design, development, and implementation of a comprehensive K-12 educational curriculum framework. The engagement is specifically scoped for the Egypt Alexandria metropolitan region, encompassing all public and semi-private schools operating under the Alexandria Governorate Education Directorate. The Curriculum Developer shall be responsible for aligning the new curriculum with the Egyptian Ministry of Education and Technical Education national standards while incorporating region-specific cultural, linguistic, and pedagogical considerations unique to Egypt Alexandria.

4. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, specifically the Egyptian Civil Code and the Public Procurement Law No. 182 of 2018 as amended. All disputes arising from this Purchase Order related to the Curriculum Developer engagement in Egypt Alexandria shall be resolved through the Alexandria Commercial Court.
  2. Payment Schedule: Payment shall be made in four equal quarterly installments of EGP 2,572,500 each, due within thirty (30) calendar days following the end of each quarter. The first installment is due upon successful onboarding and submission of the Curriculum Developer's detailed project plan. Final payment is contingent upon delivery of the complete, approved curriculum package and completion of all teacher training sessions in Egypt Alexandria.
  3. Performance Bond: The supplier shall provide a performance bond equivalent to ten percent (10%) of the total Purchase Order value, issued by a licensed Egyptian bank, valid for the duration of the contract plus sixty (60) days.
  4. Intellectual Property: All curriculum materials, instructional designs, assessment instruments, and digital content developed by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Alexandria Educational Development Authority upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
  5. Compliance with Egyptian Standards: The Curriculum Developer shall ensure that all deliverables comply with the Egyptian National Curriculum Framework, the Alexandria Governorate Education Directorate guidelines, and the requirements of the Egyptian Ministry of Education and Technical Education. All materials must be available in both Arabic and English.
  6. Site Access: The Curriculum Developer and associated team members shall have access to all public schools, educational centers, and government facilities within Egypt Alexandria as necessary for field research, teacher consultations, pilot testing, and training delivery. A valid work permit and security clearance from the Alexandria Governorate shall be obtained prior to commencement.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination for convenience, the Curriculum Developer shall be compensated for all work completed and documented up to the termination date. In the event of termination for cause (material breach), the purchasing entity reserves the right to withhold remaining payments and claim damages.
  8. Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding student data, internal assessment strategies, and proprietary pedagogical methodologies encountered during the engagement in Egypt Alexandria. This obligation survives termination for a period of five (5) years.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Egypt Alexandria region.
  10. Anti-Corruption: The supplier certifies that no part of the consideration under this Purchase Order has been or will be offered, given, or paid to any government official in Egypt Alexandria or elsewhere in violation of Egyptian anti-corruption legislation.
5. Acceptance & Authorization

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Curriculum Developer services in Egypt Alexandria. The terms set forth herein supersede all prior negotiations, correspondence, and understandings between the parties regarding this specific engagement.
