Description of Services – Curriculum Developer Engagement

This Purchase Order is issued by EdVista Learning Solutions Pvt. Ltd., headquartered in India New Delhi, to formally engage the services of a qualified Curriculum Developer through Meridian Educational Consulting LLP. The Curriculum Developer shall be responsible for designing, developing, and delivering a comprehensive academic curriculum framework for EdVista's K-12 and higher education programs, to be executed and delivered within the jurisdiction of India New Delhi and its surrounding National Capital Territory (NCT).

Scope of Work and Delivery Terms

The Curriculum Developer engaged under this Purchase Order shall perform all duties and deliverables in accordance with the academic standards prescribed by the Central Board of Secondary Education (CBSE), the National Council of Educational Research and Training (NCERT), and the University Grants Commission (UGC) guidelines applicable in India New Delhi. All physical and digital deliverables shall be submitted to EdVista Learning Solutions Pvt. Ltd. at its registered office in India New Delhi within the timelines specified in the attached Statement of Work (SOW), which forms an integral part of this Purchase Order.

The Curriculum Developer is expected to maintain full compliance with the Right to Information Act, 2005, the Information Technology Act, 2000, and all data protection regulations applicable in India. All intellectual property created by the Curriculum Developer under the terms of this Purchase Order shall vest exclusively with EdVista Learning Solutions Pvt. Ltd. upon full and final payment.

Payment Terms and Conditions

Advance Payment: 25% of the total Purchase Order value (₹ 7,17,735) shall be disbursed within 7 working days of acceptance of this Purchase Order by the Seller, via NEFT/RTGS to the bank account designated by Meridian Educational Consulting LLP.
Milestone Payments: 50% of the total value shall be paid in four equal installments upon successful delivery and acceptance of each major milestone as defined in the SOW. Each installment shall be processed within 15 working days of written acceptance by the Buyer's Quality Assurance team in India New Delhi.
Final Payment: The remaining 25% (₹ 7,17,735) shall be released within 30 days of the final curriculum review, sign-off, and handover of all source materials, templates, and documentation to the Buyer's office in India New Delhi.
Tax Compliance: All payments shall be subject to applicable Goods and Services Tax (GST) at 18% as levied in India New Delhi. TDS (Tax Deducted at Source) at 10% under Section 194J of the Income Tax Act, 1961, shall be deducted and deposited with the appropriate tax authority in India New Delhi.
Late Payment Penalty: In the event of delayed payment beyond the stipulated period, the Buyer shall pay interest at 12% per annum on the overdue amount, calculated on a daily basis.

General Terms and Conditions

This Purchase Order is governed by and shall be construed in accordance with the laws of India, with the courts of India New Delhi having exclusive jurisdiction over any disputes arising from or in connection with this Purchase Order.
The Curriculum Developer shall not subcontract any portion of the work without prior written consent from the Buyer. Any unauthorized subcontracting shall constitute a material breach of this Purchase Order.
The Curriculum Developer shall maintain professional indemnity insurance of not less than INR 50,00,000 for the duration of the engagement, with the Buyer named as an additional insured party.
Either party may terminate this Purchase Order with 30 days' written notice in the event of a material breach by the other party that remains uncured within the said notice period.
All communications, notices, and legal correspondence related to this Purchase Order shall be directed to the respective addresses listed above in India New Delhi and shall be deemed received upon confirmed delivery via registered post, courier, or email with read receipt.
This Purchase Order does not create a partnership, joint venture, or agency relationship between the parties. The Curriculum Developer is an independent contractor and not an employee of EdVista Learning Solutions Pvt. Ltd.
Force majeure events, including but not limited to natural disasters, government-imposed lockdowns in India New Delhi, or acts of war, shall relieve the affected party from performance obligations for the duration of such event, provided written notice is given within 48 hours.
The Curriculum Developer warrants that all deliverables shall be original, free from plagiarism, and shall not infringe upon any third-party intellectual property rights. The Curriculum Developer shall indemnify the Buyer against any claims arising from breach of this warranty.

Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Curriculum Developer services in India New Delhi. This Purchase Order shall become effective upon the date of the last signature affixed hereto.
