3. TERMS AND CONDITIONS
  1. Scope and Location: All services rendered by the Curriculum Developer under this Purchase Order shall be performed exclusively within the administrative boundaries of Iraq Baghdad, including but not limited to the districts of Al-Rusafa, Al-Karrada, Al-Mansour, and Al-Doura. Any travel or work outside this designated area requires prior written approval from the Buyer.
  2. Qualifications: The Curriculum Developer engaged under this Purchase Order must hold a minimum of a Master's degree in Curriculum and Instruction, Educational Design, or a related field, with no fewer than seven (7) years of demonstrated experience in curriculum development within the Middle Eastern or Iraqi educational context. Fluency in both Arabic and English is mandatory for all deliverables produced for the Iraq Baghdad school system.
  3. Timeline: The Curriculum Developer shall commence work within fourteen (14) calendar days of the acceptance of this Purchase Order. The complete project, including all phases of curriculum design, pilot implementation, and final handover in Iraq Baghdad, shall be completed within a maximum period of twelve (12) months from the start date.
  4. Payment Schedule: Payment for services rendered by the Curriculum Developer shall be made in three (3) installments: 30% upon project initiation, 40% upon completion of curriculum design and teacher training modules, and 30% upon final acceptance of all deliverables in Iraq Baghdad. All payments shall be processed in United States Dollars (USD) via bank transfer to the account specified by the Seller.
  5. Intellectual Property: All curricula, instructional materials, assessment tools, and documentation created by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Ministry of Education – Baghdad Directorate upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios but may not reproduce or distribute the materials without written consent.
  6. Compliance: The Curriculum Developer shall comply with all applicable laws and regulations of the Republic of Iraq, including the Iraqi Education Law, data protection statutes, and any specific directives issued by the Baghdad Directorate of Education. All content developed must align with the national educational standards of Iraq Baghdad and reflect the cultural and linguistic diversity of the region.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall deliver all work-in-progress materials to the Buyer, and payment shall be made pro-rata for services completed up to the termination date.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Iraqi Arbitration Center in Iraq Baghdad.
4. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Curriculum Developer to serve the educational institutions of Iraq Baghdad. This document constitutes a binding agreement effective from the date of the last signature.
