This Purchase Order is issued by the Osaka International Education Consortium (hereinafter referred to as "the Buyer") to Global Learning Design Partners Co., Ltd. (hereinafter referred to as "the Vendor") for the professional engagement of a qualified Curriculum Developer to design, develop, and deliver a comprehensive bilingual (Japanese-English) secondary education curriculum framework. The services described in this Purchase Order shall be performed exclusively within the metropolitan area of Japan Osaka, with all deliverables, workshops, and on-site consultations to be conducted at the Consortium's primary campus located in Nakanoshima, Kita-ku, Osaka.

The Curriculum Developer engaged under this Purchase Order shall possess a minimum of ten (10) years of experience in K-12 curriculum design, a master's degree in Education or Instructional Design, and demonstrated proficiency in both the Japanese and English languages. The Developer shall be responsible for aligning the curriculum with the Ministry of Education, Culture, Sports, Science and Technology (MEXT) national standards while incorporating international best practices in pedagogy, assessment methodology, and differentiated instruction.

  1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both parties. All services shall be rendered in accordance with the specifications outlined in this Purchase Order and any supplementary annexes attached hereto.
  2. The Curriculum Developer engaged by the Vendor shall operate under the Vendor's employment or contractual arrangement. The Buyer assumes no direct employment relationship with the Curriculum Developer. All labor law obligations applicable in Japan Osaka remain the sole responsibility of the Vendor.
  3. All intellectual property, including but not limited to curriculum materials, assessment instruments, training modules, and pedagogical frameworks created by the Curriculum Developer under this Purchase Order, shall become the exclusive property of the Osaka International Education Consortium upon full payment.
  4. Payment shall be made via bank transfer to the Vendor's designated account in Japan Osaka within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Japanese commercial law.
  5. The Vendor shall ensure that the Curriculum Developer maintains all necessary professional certifications, liability insurance, and compliance with the Osaka City Education Board regulations governing external educational consultants operating in Japan Osaka.
  6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall deliver all work-in-progress materials to the Buyer, and payment shall be made pro-rata for services rendered up to the termination date.
  7. All disputes arising from this Purchase Order shall be resolved through mediation in Japan Osaka, and if unresolved, through the Osaka District Court in accordance with the laws of Japan.
  8. The Vendor shall comply with all data protection requirements under Japan's Act on the Protection of Personal Information (APPI) when handling student or staff data during the Curriculum Developer's engagement in Japan Osaka.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Curriculum Developer in Japan Osaka. This Purchase Order is valid for acceptance within thirty (30) days of the date of issue.
