This Purchase Order is issued by EduPrime Learning Solutions Sdn. Bhd. to formally engage the services of a qualified Curriculum Developer based in Malaysia Kuala Lumpur. The Curriculum Developer shall be responsible for the design, development, review, and documentation of comprehensive educational curricula aligned with the Malaysian Ministry of Education standards and the national education framework. The engagement is strictly governed by the terms outlined in this Purchase Order and the attached service-level agreement.

  1. This Purchase Order constitutes a binding agreement between the Buyer and the Curriculum Developer upon signature by both parties. All work shall be performed in accordance with Malaysian law and the regulations of the Malaysian Ministry of Education.
  2. The Curriculum Developer shall maintain full confidentiality of all proprietary materials, student data, and institutional information encountered during the engagement in Malaysia Kuala Lumpur. A Non-Disclosure Agreement (NDA) is attached as Appendix A.
  3. All deliverables must be submitted in both Bahasa Malaysia and English to ensure compliance with the bilingual education policy of the Malaysian education system.
  4. Payment shall be processed in three milestones: 40% upon approval of the needs analysis (Item 01), 40% upon delivery of all six modules (Item 02), and 20% upon final acceptance of the complete curriculum package (Items 03–06).
  5. The Curriculum Developer is responsible for all travel, accommodation, and logistical expenses incurred while conducting on-site workshops in Malaysia Kuala Lumpur, unless otherwise stated in this Purchase Order.
  6. Any revisions requested by the Buyer beyond the scope defined herein shall be subject to a separate change order and additional charges at the rate of MYR 850.00 per hour.
  7. The Curriculum Developer warrants that all content developed is original, free from plagiarism, and does not infringe upon any intellectual property rights of third parties.
  8. This Purchase Order is governed by the laws of Malaysia. Any disputes arising from this engagement shall be resolved through arbitration in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC).
  9. The Curriculum Developer shall carry professional indemnity insurance with a minimum coverage of MYR 1,000,000 for the duration of this engagement.
  10. Failure to meet the required delivery date without prior written approval from the Buyer shall result in a penalty of 1% of the total Purchase Order value per calendar day of delay, capped at 10%.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Curriculum Developer in Malaysia Kuala Lumpur. This document, together with its appendices, forms the complete and exclusive agreement between the parties regarding the curriculum development services described herein.
