This Purchase Order is issued to formally engage a qualified Curriculum Developer to design, develop, and deliver a comprehensive secondary school curriculum framework for the Lagos State public education system. The Curriculum Developer shall operate primarily from the Nigeria Lagos office and shall ensure that all deliverables align with the National Curriculum Council (NCC) guidelines, the Lagos State Board of Education standards, and the 2025–2030 Lagos Education Sector Plan. The Curriculum Developer is expected to incorporate indigenous knowledge systems, digital literacy modules, and STEM-integrated learning pathways into the final curriculum documents.

4.1 Payment shall be made in four (4) milestone-based installments as follows: 25% upon contract signing, 30% upon completion of the curriculum framework (Item 2), 30% upon delivery of all teacher's guides and workbooks (Item 3), and 15% upon final acceptance of all Curriculum Developer deliverables (Item 6).
4.2 All payments shall be processed via bank transfer to the account designated by EduCurriculum Nigeria Ltd. within fourteen (14) calendar days of receipt of a valid invoice and corresponding milestone certification signed by the Buyer's project officer.
4.3 Late payments shall attract a penalty of 1.5% per month on the outstanding balance, in accordance with the Federal Government of Nigeria Public Procurement Act, 2007, as applicable to Nigeria Lagos state-level procurement.
5. TERMS AND CONDITIONS5.1 The Curriculum Developer shall maintain full professional indemnity insurance with a minimum coverage of NGN 50,000,000 for the duration of this Purchase Order.
5.2 All intellectual property rights in the curriculum materials, teacher's guides, workbooks, and digital platform content developed under this Purchase Order shall vest exclusively in the Lagos State Educational Development Board upon full payment.
5.3 The Curriculum Developer shall comply with all data protection regulations under the Nigeria Data Protection Act, 2023, particularly when handling student and teacher data collected during the needs assessment phase in Nigeria Lagos.
5.4 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet agreed milestones, or insolvency of the Curriculum Developer.
5.5 Disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004.
5.6 The Curriculum Developer shall submit a monthly progress report to the Buyer's project officer by the 5th of each month, detailing activities completed, challenges encountered, and the revised timeline for remaining deliverables.
6. DELIVERY AND PERFORMANCE LOCATIONAll on-site activities, including stakeholder consultations, teacher training workshops, and quality assurance reviews, shall be conducted within the Nigeria Lagos metropolitan area. The primary work location shall be the LSEDB headquarters at 12 Adeola Odeku Street, Victoria Island, Nigeria Lagos. The Curriculum Developer is expected to be physically present in Nigeria Lagos for a minimum of 20 working days per month during the active development phase.
