This Purchase Order is issued by Instituto Educativo del Mediterráneo, S.L. (hereinafter referred to as the "Buyer"), a private educational institution operating in Spain Valencia, to formally request and authorize the procurement of professional Curriculum Developer services from EduDesign Iberia, S.L. (hereinafter referred to as the "Supplier").

The Buyer requires the engagement of a qualified Curriculum Developer to design, structure, and deliver a comprehensive academic curriculum framework for the 2025–2026 academic year. The Curriculum Developer shall be responsible for aligning all instructional content with the current Spanish national education standards (LOMLOE – Ley Orgánica de Modificación de la LOE) as well as the specific regulatory requirements established by the Generalitat Valenciana for educational institutions operating in the Spain Valencia region.

The scope of work for the Curriculum Developer includes, but is not limited to: the development of learning objectives for all subject areas from Primary through Baccalaureate; the creation of assessment rubrics and evaluation matrices; the design of differentiated instruction plans; the integration of digital learning tools into the pedagogical framework; and the preparation of teacher training materials to ensure full institutional adoption of the new curriculum. All deliverables must be produced in both Spanish and Valencian (Catalan) to comply with the bilingual education mandates in force in Spain Valencia.

Payment for this Purchase Order shall be made in three instalments via bank transfer to the Supplier's designated account (IBAN: ES21 0081 5240 3100 0123 4567):

• Instalment 1 (40%): EUR 17,036.80 – Due upon signing and acceptance of this Purchase Order, no later than 21 June 2025.
• Instalment 2 (40%): EUR 17,036.80 – Due upon delivery and Buyer's written approval of the complete Curriculum Developer deliverables (curriculum framework, assessment instruments, and bilingual documentation), no later than 15 August 2025.
• Instalment 3 (20%): EUR 8,518.40 – Due within 15 calendar days following the completion of all Teacher Training Workshops and the final regulatory compliance sign-off by the Generalitat Valenciana, no later than 30 September 2025.

Late payments shall accrue interest at the rate established under Spanish Law 3/2004 on the Fight Against Payment Delays in Commercial Transactions.

• 5.1 This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from the execution of this Purchase Order shall be resolved by the competent courts of Valencia, Spain.
• 5.2 The Supplier warrants that the Curriculum Developer assigned to this project holds a minimum of a Master's degree in Educational Design, Curriculum Studies, or a closely related field, and possesses a minimum of eight (8) years of professional experience in curriculum development within the Spanish education system.
• 5.3 All intellectual property rights in the Curriculum Developer deliverables shall transfer to the Buyer upon full payment. The Supplier shall not reuse, reproduce, or distribute any portion of the curriculum materials developed specifically for this institution without prior written consent.
• 5.4 The Supplier shall comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD), particularly with respect to any student or staff data accessed during the Needs Assessment phase in Valencia.
• 5.5 The Curriculum Developer shall conduct all on-site work at the Buyer's premises located in Valencia, Spain, and shall adhere to the institution's health, safety, and access policies.
• 5.6 The Supplier shall provide a detailed project timeline within ten (10) business days of this Purchase Order's acceptance. Any deviation from the agreed timeline must be communicated in writing to the Buyer's procurement department no fewer than five (5) business days in advance.
• 5.7 This Purchase Order may be amended only by mutual written agreement of both parties. No verbal modifications shall be binding.
• 5.8 The Supplier shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000 for the duration of the contract, valid throughout the territory of Spain.
