This Purchase Order is issued by Saigon Educational Innovation Group Co., Ltd. to formally engage the services of a qualified Curriculum Developer for the design, development, and implementation of a comprehensive K-12 STEM curriculum framework. All professional services under this Purchase Order shall be performed within the jurisdiction of Vietnam Ho Chi Minh City, in accordance with the Ministry of Education and Training of Vietnam's national standards and the specific pedagogical requirements outlined in the attached Statement of Work (SOW-2025-118).
The Curriculum Developer engaged under this Purchase Order shall be responsible for the following scope of deliverables, all to be executed in or for institutions located in Vietnam Ho Chi Minh City:
- Design of a 12-year STEM curriculum aligned with Vietnam's 2018 General Education Curriculum (GDPT 2018) and adapted for the specific educational context of Vietnam Ho Chi Minh City public and private schools.
- Development of 480+ lesson plans, teaching modules, and assessment instruments covering Mathematics, Physics, Chemistry, Biology, and Computer Science.
- Creation of bilingual (Vietnamese-English) instructional materials and teacher training guides for deployment across 35 partner schools in Vietnam Ho Chi Minh City.
- Conduct of 12 on-site teacher training workshops to be held at the Saigon Educational Innovation Center, District 1, Vietnam Ho Chi Minh City.
- Provision of a digital learning management system (LMS) content package compatible with the existing infrastructure of schools in Vietnam Ho Chi Minh City.
- Quarterly curriculum review and revision sessions conducted in Vietnam Ho Chi Minh City to ensure ongoing alignment with national examination standards.

4. TERMS AND CONDITIONS4.1 Payment Terms: Payment shall be made in four (4) equal quarterly installments via bank transfer to the account designated by Delta Curriculum Design & Development LLC. The first installment is due within 15 business days of the execution of this Purchase Order. All transactions are subject to the tax regulations of Vietnam Ho Chi Minh City and the State Bank of Vietnam.
4.2 Performance Period: The Curriculum Developer and all supporting personnel shall commence work on July 1, 2025, and complete all deliverables by June 30, 2026. All on-site activities, including workshops and reviews, shall take place in Vietnam Ho Chi Minh City unless otherwise agreed in writing.
4.3 Intellectual Property: All curriculum materials, lesson plans, assessments, and digital content created under this Purchase Order shall become the exclusive property of Saigon Educational Innovation Group Co., Ltd. upon full payment. The Curriculum Developer retains no rights to reproduce, distribute, or license the materials independently.
4.4 Compliance: The Curriculum Developer shall comply with all applicable laws and regulations of the Socialist Republic of Vietnam, including but not limited to the Labor Code, the Education Law, and local ordinances of Vietnam Ho Chi Minh City. All personnel engaged under this Purchase Order must hold valid work permits if they are foreign nationals.
4.5 Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary educational content, student data, and business strategies. This obligation survives the termination of this Purchase Order for a period of five (5) years.
4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall deliver all completed work product to the Buyer, and payment shall be made pro-rata for services rendered up to the termination date.
4.7 Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City.
5. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Curriculum Developer services in Vietnam Ho Chi Minh City. This document constitutes a binding agreement effective from the date of the last signature.
