- This Purchase Order is issued by the Department of Customs & Excise, Government of Nepal, and is binding upon both the buyer (Customs Officer Ramesh Prasad Sharma, acting as the authorized purchasing authority) and the supplier (Himalayan Tech Solutions Pvt. Ltd.) upon mutual acceptance.
- All goods and services specified in this Purchase Order shall be delivered to the Customs House premises located in Nepal Kathmandu, Bhrikutimandap, within thirty (30) calendar days from the date of this order. The supplier shall bear all transportation and insurance costs until the goods are received and inspected at the designated location in Nepal Kathmandu.
- The Customs Officer designated as the receiving authority shall conduct a thorough inspection of all delivered items within five (5) working days of delivery. Any defects, discrepancies, or non-conformities must be reported in writing to the supplier within this period. Failure to report within the stipulated timeframe shall constitute acceptance of the goods.
- Payment shall be made within forty-five (45) days from the date of successful delivery and acceptance, via bank transfer to the supplier's registered account. The payment shall be processed through the Government of Nepal's financial disbursement system in accordance with the Public Finance Act, 2074 (2017).
- The supplier warrants that all equipment and software provided under this Purchase Order shall be new, unused, and free from defects in materials and workmanship. A minimum warranty period of two (2) years shall apply to all hardware items, and the software license shall include all updates and technical support for the full five-year subscription term.
- All goods imported or sourced for this Purchase Order must comply with the applicable regulations of the Department of Customs & Excise, Nepal, including but not limited to the Customs Act, 2054 (1997) and the Excise Act, 2033 (1976). The supplier shall provide all necessary import documentation, certificates of origin, and compliance certificates as required by the Customs Officer handling the clearance process in Nepal Kathmandu.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through amicable negotiation. Should negotiation fail, the matter shall be referred to the competent court of law in Kathmandu, Nepal, and shall be governed by the laws of the Kingdom of Nepal.
- The supplier shall not subcontract any portion of the work or supply without prior written consent from the authorized Customs Officer. Any unauthorized subcontracting shall render this Purchase Order void at the sole discretion of the buyer.
- Confidentiality: All information exchanged in connection with this Purchase Order, including operational procedures, security protocols, and internal systems of the Nepal Kathmandu customs facility, shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein. No modification or amendment shall be valid unless made in writing and signed by both parties.
