This Purchase Order is issued by Queensland Analytics Solutions Pty Ltd for the engagement of a qualified Data Scientist to provide specialised analytical, modelling, and machine learning services to the organisation. The Data Scientist shall be based and perform all duties within the Australia Brisbane metropolitan area, specifically at the Buyer's premises located at 400 George Street, Brisbane, Queensland 4000, Australia, or at such other location within Australia Brisbane as mutually agreed upon in writing.

3.1 Commencement and Duration: The engagement of the Data Scientist shall commence on 1 July 2025 and continue for an initial term of twelve (12) months, subject to renewal by mutual written agreement. All services shall be rendered within the Australia Brisbane jurisdiction and in compliance with all applicable Queensland and Commonwealth Australian legislation.
3.2 Payment Terms: Payment shall be made on a monthly basis, in arrears, within thirty (30) days of receipt of a valid tax invoice from the Seller. Invoices shall be submitted to the Buyer's accounts payable department in Brisbane, Queensland. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
3.3 Compliance and Legal Obligations: The Seller warrants that the Data Scientist engaged under this Purchase Order holds all necessary qualifications, professional certifications, and working rights in Australia. The Seller shall ensure full compliance with the Fair Work Act 2009 (Cth), the Privacy Act 1988 (Cth), the Australian Privacy Principles, and all relevant Queensland state regulations governing employment and professional services in Australia Brisbane.
3.4 Intellectual Property: All work product, models, algorithms, code, documentation, and analytical outputs created by the Data Scientist during the course of this engagement shall be the sole and exclusive property of the Buyer. The Data Scientist shall execute any additional intellectual property assignment documents reasonably required by the Buyer.
3.5 Confidentiality and Data Protection: The Data Scientist shall be bound by strict confidentiality obligations regarding all proprietary data, trade secrets, and business information of the Buyer. All data handling shall comply with the Privacy Act 1988 (Cth) and the Notifiable Data Breaches scheme. Data shall be stored and processed exclusively within Australian data centres, with primary operations conducted from the Australia Brisbane office.
3.6 Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Seller shall ensure a smooth transition of all Data Scientist deliverables and knowledge to the Buyer's internal team in Brisbane.
3.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, and the Commonwealth of Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Australia Brisbane.
The Seller shall ensure that the Data Scientist is fully onboarded, equipped, and operational at the Buyer's Australia Brisbane premises no later than 1 July 2025. Acceptance of the Data Scientist's qualifications and suitability shall be confirmed in writing by the Buyer within five (5) business days of commencement. Failure to confirm acceptance within this period shall constitute deemed acceptance.
This Purchase Order is issued and authorised by the undersigned on behalf of the Buyer. By signing below, the Seller acknowledges receipt of this Purchase Order and agrees to provide the Data Scientist services as described herein, in full compliance with all terms and conditions set out in this document.
