This Purchase Order is issued by Meridian Analytics Group Inc. to Quantum Intelligence Solutions Ltd. for the procurement of a senior Data Scientist professional to be embedded within our Canada Toronto operations centre. The Data Scientist shall be responsible for designing, developing, and deploying advanced machine learning models, statistical analysis pipelines, and predictive analytics frameworks that support our client-facing data products. The Data Scientist will report directly to the Chief Data Officer and will operate out of the Meridian Analytics Group office located at 250 Bloor Street West, Canada Toronto, Ontario.
The scope of work for the Data Scientist encompasses the following key responsibilities:
- Architecting and implementing end-to-end data science workflows, including data ingestion, feature engineering, model training, validation, and production deployment.
- Developing natural language processing (NLP) solutions and deep learning architectures tailored to the Canadian financial services and healthcare sectors.
- Conducting exploratory data analysis and generating actionable insights for executive stakeholders based in Canada Toronto and across North America.
- Maintaining and optimizing existing machine learning pipelines, ensuring model drift monitoring and retraining schedules are adhered to.
- Collaborating with cross-functional engineering, product, and business teams to translate data science findings into scalable software solutions.
- Ensuring all data handling practices comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Ontario privacy regulations.
- Mentoring junior data analysts and contributing to the internal knowledge-sharing program at the Canada Toronto headquarters.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto under the rules of the Arbitration Association of Canada.
- Payment Terms: Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the vendor. All payments shall be processed in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the vendor's designated account. The total Purchase Order value of $209,615.00 CAD is subject to the line-item breakdown specified in Section 3.
- Performance Standards: The Data Scientist shall meet or exceed the Key Performance Indicators (KPIs) outlined in the attached Service Level Agreement (SLA), which includes model accuracy thresholds, deployment frequency, and stakeholder satisfaction scores. Failure to meet KPIs for two consecutive quarters may result in termination of this Purchase Order with thirty (30) days written notice.
- Confidentiality and IP: All data, models, code, and intellectual property developed by the Data Scientist during the term of this Purchase Order shall be the exclusive property of Meridian Analytics Group Inc. The Data Scientist and the vendor shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Canada Toronto.
- Compliance: The Data Scientist must comply with all applicable Canadian federal and Ontario provincial regulations, including PIPEDA, the Ontario Personal Information Protection Act (PIPA), and the Canadian Artificial Intelligence and Data Act (when in force). The vendor warrants that the Data Scientist holds all necessary professional certifications and clearances.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the vendor shall return all company data and materials within five (5) business days.
- Insurance: The vendor shall maintain professional liability insurance of no less than $5,000,000 CAD and workers' compensation coverage as required by the Ontario Workplace Safety and Insurance Act (WSIA) for the duration of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Canada Toronto.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work defined in this Purchase Order for the Data Scientist engagement in Canada Toronto. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
