This Purchase Order is issued by Guangzhou Apex Digital Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Meridian Analytics & Intelligence Group (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Data Scientist. The engagement is to be carried out exclusively within the operational boundaries of China Guangzhou, specifically at the Buyer's primary office facility located in the Tianhe District. This Purchase Order governs all terms, conditions, deliverables, compensation structures, and compliance obligations associated with the Data Scientist engagement described herein.

The Supplier shall provide the Buyer with the services of a senior-level Data Scientist possessing a minimum of seven (7) years of professional experience in machine learning, statistical modeling, predictive analytics, and large-scale data engineering. The Data Scientist shall be responsible for the following core duties while stationed in China Guangzhou:

Total Purchase Order Value: CNY 1,345,000.00 (One Million Three Hundred Forty-Five Thousand Yuan Only)

All services under this Purchase Order shall be performed on-site at the Buyer's facility in China Guangzhou. The Data Scientist is required to be physically present at the designated workspace in the Tianhe District for a minimum of five (5) business days per week. The Supplier acknowledges that the operational environment in China Guangzhou may require the Data Scientist to comply with local data residency regulations, including but not limited to the Personal Information Protection Law of the People's Republic of China and the Data Security Law. All data processed by the Data Scientist must remain within the jurisdiction of China Guangzhou and shall not be transferred to servers located outside the People's Republic of China without prior written authorization from the Buyer.

Payment for the services outlined in this Purchase Order shall be made via bank transfer to the Supplier's designated account. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. The payment schedule is structured as follows: an initial deposit of twenty percent (20%) of the total Purchase Order value upon execution of this document; monthly progress payments corresponding to the Data Scientist's retainer; and a final settlement of all project-based deliverables upon written acceptance by the Buyer's Chief Technology Officer. All payments shall be denominated in Chinese Yuan (CNY) and processed through a licensed financial institution operating in China Guangzhou.

The Supplier warrants that the Data Scientist assigned to this Purchase Order holds a minimum of a Master's degree in Data Science, Computer Science, Statistics, or a closely related quantitative discipline. The Data Scientist must possess valid work authorization for employment in China Guangzhou and shall maintain all necessary professional certifications throughout the engagement period. The Supplier shall provide the Buyer with a comprehensive background check, academic credential verification, and a detailed curriculum vitae prior to the commencement of services. Any substitution of the assigned Data Scientist requires the prior written consent of the Buyer, and the replacement candidate must meet or exceed the qualifications specified in this Purchase Order.

All models, algorithms, code, datasets, analytical frameworks, and intellectual property developed by the Data Scientist in the course of fulfilling this Purchase Order shall be the sole and exclusive property of the Buyer. The Data Scientist and the Supplier agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies of the Buyer encountered during the engagement in China Guangzhou. This confidentiality obligation shall survive the termination or expiration of this Purchase Order for a period of no less than five (5) years.

Either party may terminate this Purchase Order with thirty (30) days' written notice if the other party materially breaches any term herein and fails to cure such breach within the notice period. The Buyer reserves the right to terminate this Purchase Order immediately if the Data Scientist fails to meet the performance benchmarks established in the service-level agreement annexed to this document. Upon termination, the Supplier shall deliver all work-in-progress materials, source code, and documentation to the Buyer within seven (7) business days at the China Guangzhou office location.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order, including those relating to the performance of the Data Scientist or the operational logistics in China Guangzhou, shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou. The language of arbitration shall be English.
