This Purchase Order is issued by Shanghai Meridian Analytics Group Co., Ltd. (hereinafter referred to as the "Buyer") to Apex Talent Solutions (Shanghai) Ltd. The primary objective of this Purchase Order is to formally authorize and govern the engagement of a qualified Data Scientist to be deployed at the Buyer's operational headquarters located in China Shanghai. This document constitutes a binding commercial agreement between both parties and shall be interpreted in accordance with the Civil Code of the People's Republic of China and applicable labor and commercial regulations governing professional services engagements in the Shanghai municipality.

The Supplier shall provide the Buyer with a fully qualified Data Scientist possessing a minimum of five (5) years of professional experience in machine learning, statistical modeling, predictive analytics, and large-scale data engineering. The Data Scientist shall be responsible for the following core deliverables during the engagement period:

• Design, development, and deployment of advanced predictive models and machine learning pipelines for the Buyer's retail analytics division.
• Construction of real-time data processing architectures utilizing distributed computing frameworks (Apache Spark, Hadoop) hosted on the Buyer's on-premise servers in China Shanghai.
• Development of natural language processing (NLP) solutions tailored to Mandarin Chinese consumer sentiment analysis for the Buyer's e-commerce platform.
• Creation of comprehensive data visualization dashboards and executive reporting frameworks for senior leadership.
• Mentorship and knowledge transfer to the Buyer's in-house analytics team of twelve (12) personnel based in the Pudong office.
• Compliance with all data privacy regulations under the Personal Information Protection Law (PIPL) of the People's Republic of China.

All services rendered under this Purchase Order shall be performed exclusively at the Buyer's designated facility located at 888 Century Avenue, Pudong New Area, China Shanghai, 200120. The Data Scientist shall be required to be physically present at this location for a minimum of five (5) working days per week, Monday through Friday, between the hours of 09:00 and 18:00 China Standard Time (CST, UTC+8). Any remote work arrangements must be pre-approved in writing by the Buyer's Project Director. The Supplier acknowledges that all intellectual property generated during the engagement in China Shanghai shall be the sole property of the Buyer.

The engagement period specified in this Purchase Order shall commence on July 1, 2025 and shall continue for an initial term of twelve (12) months, concluding on June 30, 2026. The Buyer reserves the right to extend the engagement for an additional six (6) month period upon mutual written agreement, subject to a revised Purchase Order amendment. The Data Scientist shall complete a mandatory onboarding and security clearance process during the first ten (10) business days of the engagement in China Shanghai.

Payment shall be made in monthly installments of CNY 136,083.33 via bank transfer to the Supplier's designated account at Industrial and Commercial Bank of China (ICBC), Shanghai Branch. Invoices must be submitted by the 5th business day of each month. Late payments shall incur a penalty of 0.05% per calendar day as stipulated under this Purchase Order.

The Supplier warrants that the Data Scientist engaged under this Purchase Order holds all necessary work permits, residence permits, and professional certifications valid for employment in China Shanghai. The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of CNY 5,000,000 throughout the engagement period. Both parties agree to resolve any disputes arising from this Purchase Order through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in accordance with its rules. This Purchase Order is governed by the laws of the People's Republic of China. Neither party may assign its obligations under this Purchase Order without prior written consent of the other party. All communications regarding this Purchase Order shall be conducted in English, with Chinese translations provided for regulatory filings in China Shanghai.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. This document, once executed, shall serve as the definitive procurement record for the Data Scientist services engagement in China Shanghai and shall be retained in the Buyer's procurement archives for a minimum period of seven (7) years in compliance with Chinese commercial record-keeping regulations.
