This Purchase Order is issued to formally procure the professional services of a qualified Data Scientist to be engaged on a full-time contractual basis at the Colombia Medellín headquarters of Andes Digital Solutions S.A.S. The Data Scientist shall be responsible for designing, developing, and deploying advanced analytical models, machine learning pipelines, and predictive algorithms that support the company's strategic business intelligence initiatives across all operational divisions.

The Data Scientist engaged under this Purchase Order must demonstrate proven expertise in statistical modeling, natural language processing, deep learning architectures, and big data processing frameworks. The role requires the Data Scientist to work collaboratively with cross-functional teams located in the Colombia Medellín office, including engineering, product management, and executive leadership, to translate complex business problems into actionable data-driven solutions.

4.1 Payment Terms: Payment for the Data Scientist services shall be made on a monthly basis within fifteen (15) business days following the receipt of a valid invoice from the Service Provider. All payments shall be processed in Colombian Pesos (COP) via electronic bank transfer to the account designated by Talento Analítico Consulting Ltda.

4.2 Work Location: The Data Scientist shall perform all duties primarily at the Colombia Medellín office located in the El Poblado district. Remote work arrangements may be considered on a case-by-case basis with prior written approval from the Purchasing Entity's management.

4.3 Intellectual Property: All models, algorithms, code, documentation, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the exclusive property of Andes Digital Solutions S.A.S. The Data Scientist agrees to assign all intellectual property rights upon creation.

4.4 Confidentiality: The Data Scientist shall maintain strict confidentiality regarding all proprietary data, business strategies, and internal systems of the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.

4.5 Compliance: The Data Scientist and the Service Provider shall comply with all applicable Colombian labor regulations, data protection laws (Ley 1581 de 2012 – Ley de Protección de Datos Personales), and industry standards relevant to the Colombia Medellín jurisdiction.

4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notification.

4.7 Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombia Medellín, in accordance with the rules of the Chamber of Commerce of Medellín.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Data Scientist at the Colombia Medellín facility. This document constitutes a binding agreement between the Purchasing Entity and the Service Provider effective from the date of the last signature.
