Buyer (Issuing Entity): Al-Rafidain Digital Solutions LLC, a company registered in the Republic of Iraq, with its principal office located at 142 Al-Mansour Street, Baghdad, Iraq. Registration No. IRQ-2019-44821. Hereinafter referred to as the "Buyer."

Supplier (Service Provider): The contracted Data Scientist or Data Science consultancy firm designated to deliver the professional services outlined in this Purchase Order. The Data Scientist shall operate primarily from the Iraq Baghdad office and shall comply with all local regulatory requirements applicable to professional services engagements in the Republic of Iraq.

This Purchase Order authorizes the procurement of specialized Data Scientist services to support the Buyer's analytics, machine learning, and business intelligence initiatives in Iraq Baghdad. The Data Scientist shall be responsible for the following scope of work:

• Design, development, and deployment of predictive analytics models tailored to the Iraqi market, including but not limited to consumer behavior analysis, supply chain optimization, and financial forecasting relevant to operations in Iraq Baghdad.
• Construction and maintenance of data pipelines ingesting structured and unstructured data from multiple sources across the Buyer's Iraq Baghdad facilities and remote satellite offices.
• Application of advanced statistical methods, natural language processing (NLP) techniques, and deep learning architectures to derive actionable insights from large datasets collected within the Iraq Baghdad operational environment.
• Preparation of comprehensive analytical reports, dashboards, and visualizations for senior management and stakeholders based in Iraq Baghdad, ensuring all deliverables are presented in both English and Arabic as required.
• Mentoring and upskilling of the in-house data team located in Iraq Baghdad to build long-term institutional capacity in data science and analytics.
• Ensuring full compliance with the Republic of Iraq's data protection regulations, the Central Bank of Iraq's data handling guidelines, and any sector-specific mandates applicable to the Iraq Baghdad jurisdiction.

Payment shall be made in quarterly installments via wire transfer to the account designated by the Data Scientist or the consultancy firm. All payments are subject to the Buyer's standard invoice verification process. Invoices must reference this Purchase Order number (PO-IRQ-BGH-2025-0472) and shall be submitted to the Buyer's Accounts Payable department in Iraq Baghdad no later than the 25th of each month.

• Place of Performance: All services under this Purchase Order shall be rendered at the Buyer's headquarters in Iraq Baghdad, Al-Mansour District, unless otherwise agreed in writing. The Data Scientist is expected to be physically present in Iraq Baghdad a minimum of four (4) days per week.
• Intellectual Property: All models, algorithms, code, datasets, and analytical outputs produced by the Data Scientist in the course of this engagement shall be the exclusive property of the Buyer. The Data Scientist grants the Buyer a perpetual, irrevocable, royalty-free license to use, modify, and distribute all deliverables.
• Confidentiality: The Data Scientist shall maintain strict confidentiality regarding all proprietary data, business strategies, and operational information encountered during the engagement in Iraq Baghdad. A separate Non-Disclosure Agreement (NDA) executed prior to commencement of work shall govern this obligation.
• Compliance with Iraqi Law: The Data Scientist acknowledges and agrees to comply with all applicable laws and regulations of the Republic of Iraq, including but not limited to the Iraqi Labor Law, the Iraqi Data Protection Framework, and any directives issued by the Iraqi Ministry of Communications and ICT relevant to data processing activities in Iraq Baghdad.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Data Scientist shall deliver all work-in-progress materials and complete a full handover to the Buyer's team in Iraq Baghdad within fourteen (14) days of the termination effective date.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, government sanctions, natural disasters, or pandemics affecting the Iraq Baghdad region.
• Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in accordance with the rules of the Iraqi Chamber of Commerce in Baghdad.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Data Scientist services in Iraq Baghdad. This document, together with any attached exhibits, schedules, and the referenced NDA, forms the complete agreement between the parties with respect to the subject matter herein.
