The Data Scientist engaged under this Purchase Order shall report directly to the Head of Analytics at the Buyer's headquarters located in Italy Milan. The role encompasses end-to-end data lifecycle management, including data ingestion, feature engineering, model training, validation, deployment, and ongoing monitoring. The Data Scientist is expected to collaborate with cross-functional teams based in the Italy Milan office, including software engineers, business analysts, and product managers, to ensure that all analytical deliverables align with the strategic objectives of the organization.

All services rendered under this Purchase Order shall be performed at the Buyer's primary office located at Via Torino 42, 20123 Italy Milan. The Data Scientist is required to be physically present at the Italy Milan premises for a minimum of four (4) days per week, with the remaining day allocated for remote work as mutually agreed upon. The Supplier guarantees that the Data Scientist shall comply with all local labor regulations applicable in the Lombardy region of Italy, including but not limited to working hour limits, mandatory rest periods, and occupational health and safety standards enforced in Italy Milan.
The Buyer shall provide the Data Scientist with a dedicated workstation, ergonomic seating, and access to the Italy Milan office infrastructure, including high-speed internet connectivity, secure network access, and meeting facilities. The Supplier remains responsible for the Data Scientist's professional indemnity insurance and any applicable professional liability coverage throughout the duration of this Purchase Order.
4. PAYMENT TERMS
4.1. Payment for services rendered under this Purchase Order shall be made on a monthly basis, invoiced in arrears by the Supplier to the Buyer. Invoices shall be submitted by the 5th business day of the following month.
4.2. The Buyer shall settle all undisputed invoices within thirty (30) calendar days of receipt via bank transfer to the Supplier's designated account. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Italian commercial law.
4.3. All amounts stated in this Purchase Order are exclusive of Italian Value Added Tax (VAT / IVA), which shall be applied at the prevailing rate of 22% and added to each invoice. The total Purchase Order value including VAT amounts to EUR 176,656.00.
4.4. The Buyer reserves the right to withhold payment for any deliverables that do not meet the acceptance criteria defined in the Statement of Work annexed to this Purchase Order.
5. TERM, RENEWAL, AND TERMINATION
5.1. This Purchase Order shall commence on 1 July 2025 and shall remain in effect for a period of twelve (12) months, concluding on 30 June 2026, unless renewed by mutual written agreement of both parties.
5.2. Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Data Scientist shall complete all in-progress deliverables and conduct a full knowledge transfer to the Buyer's internal team in Italy Milan before the final working day.
5.3. The Buyer may terminate this Purchase Order immediately without notice in the event of material breach by the Supplier, including but not limited to the failure to provide a qualified Data Scientist, gross negligence, or violation of data protection regulations (GDPR) applicable in Italy Milan.
6. CONFIDENTIALITY AND DATA PROTECTION
6.1. The Data Scientist engaged under this Purchase Order shall have access to proprietary business data, customer records, and trade secrets of the Buyer. All such information shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.
6.2. The Supplier and the Data Scientist shall comply fully with the General Data Protection Regulation (GDPR) and the Italian Data Protection Code (Codice in materia di protezione dei dati personali, D.Lgs. 196/2003 as amended). All personal data processed in the Italy Milan office shall be handled in strict accordance with these regulations.
6.3. Upon termination or expiry of this Purchase Order, the Data Scientist shall return or securely destroy all documents, files, and digital assets belonging to the Buyer, and shall certify such destruction in writing within ten (10) business days.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy.
7.2. The parties agree to attempt good-faith mediation before initiating any formal legal proceedings. Mediation shall be conducted in Italy Milan in accordance with the rules of the Milan Chamber of Commerce.
8. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Data Scientist in Italy Milan. This document constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
