1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by Campania Digital Solutions S.r.l. (hereinafter referred to as the "Buyer") to Advanced Analytics & AI Consulting S.r.l. (hereinafter referred to as the "Supplier") for the provision of specialized professional services rendered by a qualified Data Scientist operating within the metropolitan area of Italy Naples. This Purchase Order governs the full scope of engagement, deliverables, compensation, and contractual obligations associated with the Data Scientist role. All services described herein shall be performed in accordance with the applicable Italian labor and commercial regulations, and the primary operational base for the Data Scientist shall be located in Italy Naples, specifically within the Buyer's offices situated on Via Toledo, Naples.
2. Description of Services – Data Scientist EngagementThe Supplier shall provide the Buyer with the services of a senior Data Scientist possessing a minimum of seven (7) years of professional experience in machine learning, statistical modeling, predictive analytics, and large-scale data engineering. The Data Scientist shall be responsible for the following core activities:
- Designing, developing, and deploying machine learning models and statistical pipelines for the Buyer's retail analytics division, with all development and testing conducted at the Italy Naples office facility.
- Conducting exploratory data analysis on datasets exceeding 500 GB, utilizing Python, R, SQL, and Apache Spark frameworks.
- Building and maintaining natural language processing (NLP) models for customer sentiment analysis drawn from multilingual Italian and English customer interaction logs.
- Collaborating with the Buyer's internal IT and business intelligence teams based in Italy Naples to integrate model outputs into existing dashboards and reporting infrastructure.
- Producing weekly technical reports and monthly strategic presentations for the Buyer's executive board, to be delivered in person at the Italy Naples headquarters.
- Mentoring two junior analysts employed by the Buyer in Italy Naples on best practices in data science methodology and ethical AI deployment.
The engagement period under this Purchase Order shall commence on 1 July 2025 and shall continue for a duration of twelve (12) months, concluding on 30 June 2026, unless terminated earlier in accordance with the termination clauses set forth in Section 7. The Data Scientist shall perform all duties primarily at the Buyer's premises in Italy Naples (Via Toledo 182, 80132 Naples). Remote work from a secondary location within the Campania region of Italy is permitted for a maximum of two (2) days per week, subject to prior written approval by the Buyer's project manager. Payment shall be made via bank transfer (IBAN: IT60 X054 2811 1000 0000 0123 456) within thirty (30) calendar days from the date of invoice issuance. Invoices shall be submitted on a monthly basis by the 5th of the following month. Late payments shall accrue interest at the rate prescribed by Article 634 of the Italian Civil Code.
5. Intellectual Property and ConfidentialityAll models, algorithms, code, documentation, and analytical outputs created by the Data Scientist in the course of performing services under this Purchase Order shall be the exclusive intellectual property of the Buyer. The Data Scientist and the Supplier agree to maintain strict confidentiality regarding all proprietary data, trade secrets, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years. The Data Scientist shall comply with the EU General Data Protection Regulation (GDPR) and the Italian Data Protection Code (D.Lgs. 196/2003, as amended by D.Lgs. 101/2018) in all data handling activities conducted in Italy Naples.
6. Performance Standards and AcceptanceThe Buyer shall evaluate the Data Scientist's performance on a quarterly basis against pre-agreed Key Performance Indicators (KPIs), including model accuracy thresholds, project milestone completion rates, and stakeholder satisfaction scores. Deliverables shall be deemed accepted within ten (10) business days of submission, provided no material defects are identified. In the event of non-conformance, the Supplier shall remedy the deficiency within fifteen (15) business days at no additional cost to the Buyer.
7. TerminationEither party may terminate this Purchase Order with sixty (60) days' written notice. The Buyer may terminate immediately for cause in the event of material breach, insolvency of the Supplier, or failure of the Data Scientist to meet performance standards after two consecutive quarterly reviews. Upon termination, the Supplier shall deliver all work-in-progress materials and data to the Buyer's Italy Naples office within ten (10) business days.
8. Governing Law and Dispute ResolutionThis Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be resolved exclusively by the competent courts of Naples, Italy. The parties agree to attempt mediation through the Chamber of Commerce of Naples prior to initiating any judicial proceedings.
9. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Data Scientist in Italy Naples.
