This Purchase Order is issued by InnovateTech Solutions S.A. de C.V. (hereinafter referred to as the "Buyer") to DataMind Consulting Group (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Data Scientist. The Data Scientist shall be engaged to perform advanced analytics, machine learning model development, predictive modeling, and data engineering tasks in support of the Buyer's enterprise data strategy. All services described in this Purchase Order shall be performed at the Buyer's primary office located in Mexico Mexico City, specifically at the address listed above, unless otherwise agreed upon in writing by both parties.

The Data Scientist assigned under this Purchase Order must possess a minimum of five (5) years of professional experience in data science, machine learning, and statistical analysis. The Data Scientist shall be fluent in both English and Spanish to facilitate effective communication with the Buyer's multidisciplinary teams operating in Mexico Mexico City. The Data Scientist shall report directly to the Buyer's Chief Data Officer and shall adhere to all internal protocols, data governance policies, and confidentiality agreements established by InnovateTech Solutions S.A. de C.V.

The Data Scientist engaged under this Purchase Order shall perform the following tasks during the contract period:

1. Design, develop, and deploy machine learning models for customer segmentation and churn prediction using the Buyer's proprietary datasets hosted in Mexico Mexico City data centers.
2. Conduct exploratory data analysis (EDA) on structured and unstructured data sources, producing comprehensive analytical reports for senior leadership.
3. Build and maintain ETL (Extract, Transform, Load) pipelines to ensure data integrity across the Buyer's enterprise systems.
4. Collaborate with the Buyer's engineering and product teams in Mexico Mexico City to integrate data science outputs into production applications.
5. Provide weekly progress reports and bi-weekly stakeholder presentations to the Buyer's executive committee.
6. Ensure full compliance with Mexico's Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and all applicable data privacy regulations in Mexico Mexico City.
7. Mentor junior analysts within the Buyer's data team on best practices in statistical modeling and data visualization.

This Purchase Order covers a service period of six (6) months, commencing on July 1, 2025, and concluding on December 31, 2025. The Data Scientist shall deliver all project milestones as outlined in the attached Statement of Work (SOW), which forms an integral part of this Purchase Order. All deliverables shall be submitted in digital format to the Buyer's project management office in Mexico Mexico City no later than the dates specified in the SOW. Failure to meet deliverable deadlines without prior written approval from the Buyer may result in contractual penalties as defined in Section 7 of this Purchase Order.

Payment shall be made in six (6) equal monthly installments of MXN $291,546.67 (inclusive of IVA), due on the 5th business day of each month following the month in which services are rendered. Payment shall be processed via bank transfer to the Supplier's designated account in Mexico Mexico City. The Supplier shall issue a valid CFDI (Comprobante Fiscal Digital por Internet) invoice for each payment in accordance with Mexican tax regulations. This Purchase Order is valid for a period of thirty (30) calendar days from the date of issue.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Commercial Code of Mexico and applicable federal and local laws of Mexico Mexico City. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico Mexico City in accordance with the rules of the Mexican Arbitration Center (CAM).
2. Confidentiality: The Data Scientist shall maintain strict confidentiality regarding all proprietary data, trade secrets, and business information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
3. Intellectual Property: All work product, models, code, reports, and deliverables created by the Data Scientist in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer. The Data Scientist hereby assigns all intellectual property rights to the Buyer upon creation.
4. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress to the Buyer within five (5) business days.
5. Compliance: The Data Scientist shall comply with all applicable labor laws, tax obligations, and regulatory requirements in Mexico Mexico City. The Supplier is solely responsible for the employment relationship, social security contributions (IMSS), and any applicable labor benefits for the Data Scientist.
6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Mexico Mexico City.
7. Penalties: In the event of non-delivery of milestones, the Supplier shall be subject to a penalty of 0.5% of the total Purchase Order value per business day of delay, capped at 10% of the total value.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the procurement of Data Scientist professional services in Mexico Mexico City. No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
