This Purchase Order is issued by TechBridge Analytics Nigeria Ltd. to formally procure the professional services of a qualified Data Scientist to be deployed at our primary operational headquarters in Nigeria Lagos. The engagement of this Data Scientist is critical to our ongoing digital transformation initiative, which aims to leverage advanced analytics, machine learning models, and predictive data pipelines to optimize our client-facing products across the West African market. The Data Scientist shall be responsible for designing, developing, and maintaining statistical models, conducting exploratory data analysis, building automated reporting dashboards, and providing strategic data-driven recommendations to senior leadership based in Nigeria Lagos.

1. This Purchase Order constitutes a binding agreement between TechBridge Analytics Nigeria Ltd. (hereinafter "the Buyer") and Apex Data Solutions & Consulting (hereinafter "the Vendor") for the procurement of Data Scientist professional services to be rendered in Nigeria Lagos.
2. The Data Scientist engaged under this Purchase Order shall be subject to the Buyer's code of conduct, data security protocols, and confidentiality agreements specific to operations in Nigeria Lagos. All proprietary data, client information, and model architectures developed during the engagement shall remain the exclusive intellectual property of the Buyer.
3. The Vendor shall ensure that the Data Scientist possesses a minimum of five (5) years of professional experience in data science, with demonstrated expertise in Python, R, SQL, TensorFlow, and cloud-based data infrastructure. A valid professional certification (e.g., AWS Certified Data Engineer, Google Professional Data Engineer, or equivalent) is required prior to commencement of work in Nigeria Lagos.
4. Payment shall be processed in monthly installments via bank transfer to the Vendor's designated account domiciled in Nigeria Lagos. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Late payments shall attract a penalty of 1.5% per month as stipulated under Nigerian commercial law.
5. The Data Scientist shall report directly to the Head of Analytics at the Buyer's Nigeria Lagos office, located at 14B Adeola Odeku Street, Victoria Island. Working hours shall be Monday to Friday, 8:00 AM to 5:00 PM (WAT), with a one-hour lunch break.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall be compensated for all services rendered up to the effective date of termination, and the Data Scientist shall return all company assets, data access credentials, and documentation within five (5) business days.
7. All disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Lagos. The governing law of this Purchase Order shall be the laws of the Federal Republic of Nigeria.
8. The Vendor shall maintain professional indemnity insurance with a minimum coverage of ₦50,000,000 (Fifty Million Naira) for the duration of this Purchase Order, valid within Nigeria Lagos and the broader Nigerian jurisdiction.
9. This Purchase Order is subject to approval by the Buyer's Finance and Procurement Committee. No work shall commence until the signed acknowledgment of this Purchase Order is returned to the Buyer's office in Nigeria Lagos.

This Purchase Order (PO-LAG-DS-2025-0047) is valid for 30 days from the date of issue. All references to Nigeria Lagos in this document pertain to the operational jurisdiction and physical delivery location of the Data Scientist services. This document is issued in duplicate, with one copy retained by each party. Unauthorized reproduction or distribution of this Purchase Order is strictly prohibited under Nigerian intellectual property and commercial law.
