This Purchase Order is issued by TechBridge Analytics LLC for the engagement of a qualified Data Scientist to provide advanced analytical, machine learning, and statistical modeling services. The Data Scientist shall be physically based and perform all duties within the city of Russia Moscow, specifically at the client's headquarters located at 12 Tverskaya Street, Building 3, Moscow, 125009, Russian Federation. The scope of work encompasses the design, development, deployment, and maintenance of predictive analytics pipelines, natural language processing models, and real-time data visualization dashboards tailored to the operational requirements of the client's business intelligence division.
The Data Scientist is expected to possess a minimum of five (5) years of professional experience in applied data science, with demonstrated expertise in Python, R, SQL, TensorFlow, PyTorch, and cloud-based data infrastructure (AWS, Azure, or Yandex Cloud). The candidate must hold at least a Master's degree in Computer Science, Applied Mathematics, Statistics, or a closely related quantitative discipline. Fluency in both Russian and English is mandatory, as all technical documentation, client presentations, and interdepartmental communications within Russia Moscow will be conducted in both languages.

- Governing Law: This Purchase Order and all associated services shall be governed by and interpreted in accordance with the Civil Code of the Russian Federation and applicable federal legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration in Moscow, Russian Federation, in accordance with the rules of the Arbitration Court of the City of Moscow.
- Place of Performance: All services under this Purchase Order shall be rendered exclusively within the administrative boundaries of Russia Moscow. The Data Scientist shall report to the client's premises at 12 Tverskaya Street, Building 3, Moscow, 125009, on a Monday-through-Friday schedule, 09:00 to 18:00 local time (Moscow Standard Time, UTC+3).
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the account specified in Section 1. Monthly invoices for the Data Scientist's retainer fee shall be due within fifteen (15) calendar days of receipt. Lump-sum deliverables shall be invoiced upon written acceptance by the client's Project Director. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under Article 317.1 of the Civil Code of the Russian Federation.
- Confidentiality and Data Protection: The Data Scientist shall comply with Federal Law No. 152-FZ "On Personal Data" and all applicable data protection regulations in force in Russia Moscow. All proprietary data, algorithms, and intellectual property generated during the engagement shall remain the exclusive property of TechBridge Analytics LLC. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
- Intellectual Property: All models, code, documentation, and analytical outputs produced by the Data Scientist in the course of fulfilling this Purchase Order shall be deemed "work made for hire" and shall vest exclusively in the client. The Data Scientist grants an irrevocable, perpetual, royalty-free license to the client for all pre-existing tools or methodologies incorporated into the deliverables.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Data Scientist shall deliver all work-in-progress materials and shall be compensated for services rendered up to the effective date of termination.
- Compliance: The Data Scientist warrants that all services shall be performed in full compliance with the labor laws of the Russian Federation, including but not limited to the Labor Code of the Russian Federation, and all local regulations applicable to professional services providers operating in Russia Moscow.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Moscow.
This Purchase Order constitutes a binding procurement instrument upon signature by both parties. The Data Scientist engagement shall commence on 01 July 2025, subject to successful completion of background verification and execution of the NDA. The client reserves the right to request a replacement Data Scientist within the first thirty (30) days if performance does not meet the agreed-upon service level objectives.
