2. Description of Procured Services

This Purchase Order is issued by Siam Digital Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Apex Analytics & Consulting Pte. Ltd. (hereinafter referred to as the "Supplier") for the procurement of specialized Data Scientist professional services. The Buyer requires the engagement of a senior Data Scientist to support its artificial intelligence and machine learning initiatives within its Thailand Bangkok operations center. The Data Scientist shall be responsible for developing, training, and deploying predictive models, conducting advanced statistical analyses, building data pipelines, and providing strategic data-driven recommendations to the executive leadership team based in Thailand Bangkok.

The scope of work for the Data Scientist under this Purchase Order includes, but is not limited to: (a) design and implementation of machine learning algorithms for customer segmentation and demand forecasting; (b) construction of natural language processing models tailored to Thai and English language datasets; (c) development of real-time data analytics dashboards for the Thailand Bangkok headquarters; (d) collaboration with the internal engineering team located in Thailand Bangkok to integrate data science outputs into production systems; and (e) preparation of quarterly technical reports and presentations for the Board of Directors.

3. Location of Service Delivery

All services procured under this Purchase Order shall be performed primarily at the Buyer's principal office located in Thailand Bangkok, specifically at 88 Sukhumvit Road, Khlong Toei District, Thailand Bangkok 10110. The Data Scientist shall be required to be physically present at the Thailand Bangkok office for a minimum of four (4) days per week. Remote work from any location within Thailand Bangkok metropolitan area is permissible for the remaining one (1) day per week, subject to prior written approval from the Buyer's Project Manager. Any travel to other regions of Thailand for client site visits shall be pre-authorized in writing and billed at cost as a separate line item under this Purchase Order.

4. Contract Duration and Commencement

The engagement of the Data Scientist under this Purchase Order shall commence on 1 July 2025 and shall continue for an initial period of twelve (12) months, expiring on 30 June 2026. This Purchase Order may be extended for up to two (2) additional twelve-month periods upon mutual written agreement between the Buyer and the Supplier, provided that no material breach of this Purchase Order has occurred during the preceding term. The Data Scientist shall be required to serve a notice period of thirty (30) days prior to the expiration of any term.

Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the Supplier. Invoices shall reference this Purchase Order number (PO-THB-2025-04782) and shall be submitted to the Buyer's Accounts Payable department in Thailand Bangkok. Late payments shall accrue interest at a rate of 1.5% per month on the outstanding balance. All payments shall be made via bank transfer to the Supplier's designated account as specified in the attached Schedule A.

6. Qualifications and Compliance Requirements

The Data Scientist engaged under this Purchase Order shall hold a minimum of a Master's degree in Data Science, Computer Science, Statistics, or a closely related quantitative discipline, and shall possess a minimum of seven (7) years of progressive professional experience in data science, machine learning, or applied analytics. The Data Scientist shall demonstrate proficiency in Python, R, SQL, and at least one major machine learning framework. The Supplier warrants that the Data Scientist shall comply with all applicable laws and regulations of the Kingdom of Thailand, including but not limited to the Personal Data Protection Act B.E. 2562 (2019), the Computer Crime Act, and all labor and immigration regulations governing the provision of professional services in Thailand Bangkok. The Supplier shall ensure that the Data Scientist holds a valid work permit and non-immigrant visa for Thailand, with all associated costs borne by the Supplier unless otherwise stipulated in this Purchase Order.

7. Confidentiality and Intellectual Property

All data, models, algorithms, code, documentation, and intellectual property developed by the Data Scientist in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Buyer. The Data Scientist and the Supplier shall execute a separate Non-Disclosure Agreement (NDA) prior to the commencement of work, binding all personnel involved in the Thailand Bangkok engagement. Confidential information shall remain protected for a period of five (5) years following the termination or expiration of this Purchase Order. Any breach of confidentiality obligations shall entitle the Buyer to seek injunctive relief and monetary damages in the courts of Thailand Bangkok.

8. Termination and Default

Either party may terminate this Purchase Order with immediate effect upon written notice if the other party commits a material breach and fails to cure such breach within fifteen (15) days of receiving written notice. The Buyer may terminate this Purchase Order for convenience upon sixty (60) days' prior written notice, in which case the Buyer shall pay for all services rendered up to the effective date of termination. In the event of termination, the Data Scientist shall return all Buyer property, data, and documentation within seven (7) business days and shall cooperate in a structured knowledge transfer to the Buyer's internal team in Thailand Bangkok.

9. Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising out of or in connection with this Purchase Order, including disputes relating to the performance of the Data Scientist in Thailand Bangkok, shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be referred to arbitration under the rules of the Thai Arbitration Institute, with the seat of arbitration in Thailand Bangkok. The language of arbitration shall be English.

10. Acceptance and Authorization

By signing below, the authorized representatives of both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Data Scientist services in Thailand Bangkok. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
