This Purchase Order authorizes the procurement of specialized Data Scientist professional services to be performed on-site and remotely within the Turkey Ankara metropolitan area. The Data Scientist shall be responsible for designing, developing, and deploying advanced machine learning models, statistical analysis pipelines, and predictive analytics frameworks for the buyer's enterprise data infrastructure. All deliverables and on-site consultations shall take place at the buyer's headquarters located in Çankaya, Ankara, Turkey, unless otherwise agreed in writing.

The Data Scientist engagement encompasses the following key responsibilities:

• Conduct exploratory data analysis (EDA) on the buyer's proprietary datasets comprising over 2.4 million records related to consumer behavior in the Turkish market.
• Develop and train supervised and unsupervised machine learning models, including but not limited to gradient boosting classifiers, neural network architectures, and clustering algorithms.
• Build and maintain reproducible data pipelines using Python, Apache Spark, and SQL within the buyer's on-premises server environment in Ankara.
• Perform A/B testing design and statistical significance analysis for product optimization initiatives.
• Prepare weekly progress reports and monthly executive presentations for the senior leadership team based in Turkey Ankara.
• Collaborate with the internal engineering team to integrate model outputs into the production API gateway.
• Ensure compliance with Turkey's Personal Data Protection Law (KVKK - Law No. 6698) in all data handling and processing activities.

Currency: Turkish Lira (TRY) — Central Bank of Turkey reference rate applies for any foreign currency conversion.

• Payment shall be made via bank transfer (EFT/Havale) to the Data Scientist's designated account in Turkey Ankara within thirty (30) calendar days from the date of invoice issuance.
• An initial mobilization payment of 25% of the total Purchase Order value shall be due upon contract signing and commencement of services.
• Monthly retainer payments (Item 01) shall be invoiced on the first business day of each month and are due within 15 days of invoice receipt.
• Lump-sum deliverables (Items 02, 03, 05) shall be invoiced upon written acceptance of deliverables by the buyer's project manager in Ankara.
• Late payments shall accrue interest at the statutory rate determined by the Republic of Turkey's Ministry of Treasury and Finance.
• All payments are subject to applicable Turkish tax withholdings as mandated by the Turkish Revenue Administration (GİB).

• This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Ankara, Turkey.
• The Data Scientist warrants that all work products, code, models, and documentation delivered under this Purchase Order shall be original and free from any intellectual property infringement claims.
• Confidentiality obligations as defined in the separate Non-Disclosure Agreement (NDA) executed on 10 June 2025 shall remain in full force and effect for a period of five (5) years following the termination of this Purchase Order.
• The Data Scientist shall comply with all applicable labor, tax, and data protection regulations in Turkey Ankara, including KVKK (Law No. 6698) and the Turkish Labor Law (Law No. 4857).
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Data Scientist shall be compensated for all work completed and accepted up to the termination date.
• This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Data Scientist services and supersedes all prior negotiations, representations, and agreements.
