This Purchase Order is issued by Northbridge Analytics Group Ltd. to Apex Data Solutions Ltd. for the provision of a fully qualified Data Scientist to be embedded within our analytics division. The Data Scientist shall be based at our principal office located in United Kingdom Manchester, specifically at 42 Deansgate Square, Manchester, M3 4LQ. The engagement is designed to support our machine learning pipeline development, predictive modelling initiatives, and advanced statistical analysis programmes that are central to our client-facing deliverables in the United Kingdom Manchester region and beyond.
The Data Scientist engaged under this Purchase Order must possess a minimum of five (5) years of professional experience in data science, machine learning, and statistical modelling. The candidate shall hold a Master's degree or PhD in a relevant discipline such as Computer Science, Applied Mathematics, Statistics, or a closely related field. Proficiency in Python, R, SQL, and at least one major machine learning framework (TensorFlow, PyTorch, or scikit-learn) is mandatory. The Data Scientist will report directly to the Head of Analytics at our United Kingdom Manchester headquarters and will collaborate with cross-functional teams including software engineers, business analysts, and product managers.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order relating to the Data Scientist engagement in United Kingdom Manchester shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- Commencement Date: The Data Scientist shall commence duties no later than 1 September 2025 at the United Kingdom Manchester office. A two-week notice period applies to either party for early termination of this Purchase Order.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at 2% per month in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Confidentiality: The Data Scientist shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary data, algorithms, and business intelligence generated during the engagement in United Kingdom Manchester. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All work product, models, code, and analytical outputs created by the Data Scientist during the term of this Purchase Order shall be the sole intellectual property of Northbridge Analytics Group Ltd.
- Compliance: The Data Scientist must comply with all applicable UK data protection regulations, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, particularly when handling personal data within the United Kingdom Manchester operational environment.
- Performance Standards: The Data Scientist's performance shall be reviewed quarterly. Failure to meet agreed Key Performance Indicators (KPIs) for two consecutive review periods shall constitute grounds for termination of this Purchase Order with immediate effect.
- Insurance: Apex Data Solutions Ltd. shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of this Purchase Order.
- Working Location: The Data Scientist shall be required to work from the United Kingdom Manchester office a minimum of four (4) days per week. Remote working on the fifth day is permissible subject to prior written approval from the Head of Analytics.
- Entire Agreement: This Purchase Order, together with any attached schedules and the NDA, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the Data Scientist engagement.
