This Purchase Order is issued by Meridian Analytics Group, LLC (hereinafter referred to as the "Buyer") to Apex Data Solutions, Inc. (hereinafter referred to as the "Vendor") for the procurement of specialized Data Scientist professional services. The engagement is to be performed primarily at the Buyer's headquarters located in United States Chicago, with the possibility of hybrid remote work as mutually agreed upon in writing.
The Vendor shall provide a qualified Data Scientist with a minimum of seven (7) years of professional experience in machine learning, statistical modeling, predictive analytics, and large-scale data engineering. The Data Scientist shall hold at least a Master's degree in Computer Science, Statistics, Applied Mathematics, or a closely related quantitative field. The candidate must demonstrate proficiency in Python, R, SQL, TensorFlow, PyTorch, and cloud-based data platforms including AWS and Azure.
The scope of work for the Data Scientist under this Purchase Order includes, but is not limited to: designing and implementing predictive models for customer segmentation; developing natural language processing pipelines for unstructured corporate data; building and maintaining real-time data dashboards; conducting exploratory data analysis on datasets exceeding 500 million records; collaborating with the Buyer's engineering and product teams in United States Chicago; and presenting findings to executive leadership on a bi-weekly basis.

Payment shall be made on a net-45 basis from the date of invoice receipt. Invoices shall be submitted on the last business day of each calendar month. All payments shall be processed via ACH transfer to the Vendor's designated bank account in United States Chicago. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Illinois commercial code.
Terms & Conditions- Commencement Date: The Data Scientist engagement shall commence on July 1, 2025, and shall continue for a period of twelve (12) months unless terminated earlier in accordance with this Purchase Order.
- Work Location: The primary work location for the Data Scientist shall be the Buyer's office at 233 S Wacker Drive, United States Chicago, IL 60606. The Data Scientist is expected to be on-site a minimum of three (3) days per week.
- Intellectual Property: All models, algorithms, code, documentation, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the sole and exclusive property of the Buyer.
- Confidentiality: The Vendor and the assigned Data Scientist shall maintain strict confidentiality of all proprietary data, trade secrets, and business strategies of the Buyer. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Compliance: The Vendor warrants that the Data Scientist shall comply with all applicable federal, state (Illinois), and local laws and regulations governing data privacy, including the Illinois Personal Information Protection Act (PIPA) and the General Data Protection Regulation (GDPR) where applicable to international data subjects.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Vendor shall deliver all work-in-progress to the Buyer within ten (10) business days.
- Insurance: The Vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and general liability insurance of $1,000,000, with the Buyer named as an additional insured. Certificates of insurance shall be provided prior to the commencement of the Data Scientist engagement.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States Chicago in accordance with the rules of the American Arbitration Association.
- Independent Contractor: The Data Scientist provided by the Vendor is an independent contractor and not an employee of the Buyer. The Vendor is solely responsible for all compensation, benefits, taxes, and statutory obligations related to the Data Scientist.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or governmental actions affecting operations in United States Chicago.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Data Scientist engagement to be conducted in United States Chicago. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
