This Purchase Order is issued by Meridian Analytics Group, Inc. (hereinafter referred to as the "Buyer"), a corporation duly organized and operating under the laws of the State of New York, with its principal place of business located in United States New York City, to Apex Data Solutions LLC (hereinafter referred to as the "Seller"), a limited liability company registered in the State of New York, with its registered office at 88 Wall Street, Floor 15, United States New York City, NY 10005.

The Buyer hereby requests the Seller to provide the services of a qualified and experienced Data Scientist to support the Buyer's ongoing analytics and machine learning initiatives. The Data Scientist shall be engaged on a full-time, on-site basis at the Buyer's headquarters located in United States New York City. The Data Scientist is expected to possess a minimum of five (5) years of professional experience in statistical modeling, predictive analytics, natural language processing, and large-scale data engineering. The Data Scientist must hold at least a Master's degree in Data Science, Computer Science, Statistics, or a closely related quantitative field.

The Data Scientist shall be responsible for designing, developing, and deploying advanced analytical models, conducting exploratory data analysis, building and maintaining machine learning pipelines, creating data visualizations and executive dashboards, collaborating with cross-functional teams across the United States New York City office, and presenting findings to senior leadership. The Data Scientist shall also be tasked with mentoring junior analysts and contributing to the Buyer's internal knowledge base and best-practice documentation.

1. Payment Terms: Payment shall be made on a net-45 basis from the date of invoice receipt. Invoices shall be submitted on the last business day of each calendar month. All payments shall be processed via ACH transfer to the Seller's designated bank account in the United States.
2. Work Location: The Data Scientist shall perform all duties at the Buyer's office located at 350 Fifth Avenue, United States New York City, NY 10118, Monday through Friday, 9:00 AM to 6:00 PM Eastern Time, unless otherwise agreed in writing.
3. Confidentiality: The Data Scientist shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary data, algorithms, business strategies, and client information encountered during the engagement in United States New York City.
4. Intellectual Property: All work product, models, code, documentation, and analytical outputs created by the Data Scientist in the course of this Purchase Order shall be the sole and exclusive property of the Buyer.
5. Compliance: The Seller and the Data Scientist shall comply with all applicable federal, state, and local laws of the United States, including but not limited to the New York State Labor Law, the New York City Human Rights Law, and all data privacy regulations including the New York SHIELD Act.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
7. Insurance: The Seller shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate, as well as professional liability (errors and omissions) insurance of $1,000,000, naming the Buyer as an additional insured.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States New York City in accordance with the rules of the American Arbitration Association.
