This Purchase Order is issued by Pacific Analytics Solutions, Inc. to Meridian Data Intelligence Group, LLC for the provision of a senior-level Data Scientist to be embedded within the buyer's analytics division located in United States San Francisco. The Data Scientist shall be responsible for designing, developing, and deploying machine learning models, conducting advanced statistical analyses, building predictive analytics pipelines, and providing strategic data-driven recommendations to support the buyer's core business operations. The Data Scientist will work on-site at the buyer's offices in United States San Francisco, Monday through Friday, during standard business hours (8:00 AM to 5:00 PM Pacific Time), with a maximum of ten (10) hours of remote work per month subject to prior written approval by the buyer's project manager.

The Data Scientist engaged under this Purchase Order shall perform the following duties for the duration of the contract term:

  • Design, train, validate, and deploy supervised and unsupervised machine learning models for customer segmentation, demand forecasting, and fraud detection systems.
  • Develop and maintain reproducible data pipelines using Python, R, SQL, and distributed computing frameworks (Apache Spark, Databricks) hosted on the buyer's cloud infrastructure.
  • Conduct exploratory data analysis and generate weekly analytical reports for senior leadership based in United States San Francisco.
  • Collaborate with cross-functional teams including engineering, product management, and business intelligence to translate business problems into data science solutions.
  • Ensure all data handling practices comply with California Consumer Privacy Act (CCPA), California Privacy Rights Act (CPRA), and applicable United States federal data protection regulations.
  • Present findings and model performance metrics to the buyer's executive team no fewer than twice per month.
  • Maintain documentation of all models, algorithms, and analytical methodologies in the buyer's designated repository.
  • Payment shall be made on a monthly basis, net thirty (30) days from the date of invoice receipt.
  • Invoices shall be submitted by the 5th business day of each month for services rendered in the preceding calendar month.
  • Payment method: Wire transfer to the vendor's designated bank account in the United States.
  • Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by California law, whichever is lower.
  • The buyer reserves the right to withhold payment for any deliverables that do not meet the acceptance criteria defined in Section 5.

All deliverables produced by the Data Scientist, including but not limited to model artifacts, analytical reports, code repositories, and presentation materials, shall be subject to a ten (10) business day acceptance period. The buyer's designated project manager shall notify the vendor in writing of acceptance or rejection. Rejected deliverables must be corrected and resubmitted within five (5) business days at no additional cost to the buyer. All intellectual property created by the Data Scientist during the course of this Purchase Order engagement shall be the sole property of Pacific Analytics Solutions, Inc.

  • This Purchase Order is governed by the laws of the State of California and the federal laws of the United States of America. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States San Francisco, California, in accordance with the rules of the American Arbitration Association.
  • The vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence for the entire duration of this Purchase Order.
  • The Data Scientist shall be bound by a non-disclosure agreement (NDA) and non-compete clause as specified in the attached Exhibit A, which is incorporated into this Purchase Order by reference.
  • Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the buyer shall pay for all services rendered up to the effective date of termination.
  • The vendor warrants that the Data Scientist assigned to this Purchase Order possesses a minimum of seven (7) years of professional experience in data science, a Master's degree or higher in a relevant quantitative field, and demonstrated expertise in the technologies listed in Section 3.
  • All work performed under this Purchase Order shall be conducted in compliance with all applicable United States federal, California state, and United States San Francisco municipal laws and regulations.
  • This Purchase Order may not be assigned or subcontracted by the vendor without the prior written consent of the buyer.

This Purchase Order is hereby authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this Purchase Order document.
