This Purchase Order is issued by Andes Digital Solutions C.A. to formally authorize and request the engagement of a qualified Data Scientist professional to be deployed and rendered in the city of Venezuela Caracas. The Data Scientist shall provide comprehensive analytical services, machine learning model development, predictive analytics, and data engineering support to the buyer's operations team. All services described in this Purchase Order shall be performed on-site at the buyer's principal office located in Venezuela Caracas, or remotely as mutually agreed upon in writing by both parties.

The Data Scientist engaged under this Purchase Order shall be responsible for the following duties and deliverables while operating within the Venezuela Caracas metropolitan area:

• Design, develop, and deploy statistical models and machine learning algorithms tailored to the buyer's business intelligence requirements in Venezuela Caracas.
• Conduct exploratory data analysis on datasets comprising no fewer than 50 million records per quarter, ensuring data quality and integrity standards are met.
• Build and maintain automated data pipelines using Python, R, SQL, and distributed computing frameworks (Apache Spark, Hadoop) hosted on the buyer's infrastructure in Venezuela Caracas.
• Produce weekly analytical reports and monthly executive presentations for senior leadership, highlighting key performance indicators and actionable insights.
• Collaborate with cross-functional teams including engineering, finance, and operations to translate business problems into data-driven solutions.
• Ensure compliance with all applicable data protection regulations in force within the Republic of Venezuela, including the Ley Orgánica de Protección de Datos Personales.
• Mentor junior analysts and support the internal upskilling program for the Data Scientist team based in Venezuela Caracas.

Payment shall be made in monthly installments via wire transfer to the vendor's designated bank account in Venezuela Caracas. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Payment terms are Net 30 days from the date of invoice receipt. All amounts are denominated in United States Dollars (USD) as permitted under applicable Venezuelan foreign exchange regulations (SICAD / BCV rates).

1. This Purchase Order constitutes a binding agreement between the parties upon signature and shall govern all aspects of the Data Scientist engagement in Venezuela Caracas.
2. The Data Scientist shall be considered an independent contractor and not an employee of the buyer. The vendor is solely responsible for social security contributions, taxes, and labor obligations under Venezuelan law.
3. All intellectual property, models, code, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the exclusive property of the buyer.
4. The Data Scientist must maintain strict confidentiality of all proprietary data, trade secrets, and business information encountered while performing services in Venezuela Caracas. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
5. Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
6. The vendor guarantees that the Data Scientist assigned to this Purchase Order holds a minimum of a Master's degree in Data Science, Statistics, Computer Science, or a related quantitative field, and possesses no fewer than five (5) years of professional experience.
7. All services shall be performed in compliance with the labor, tax, and regulatory framework of the Bolivarian Republic of Venezuela, with the primary place of execution being Venezuela Caracas.
8. Disputes arising from this Purchase Order shall be resolved through binding arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
9. This Purchase Order is valid for a period of twelve (12) months from the date of issue and may be renewed by mutual written agreement of both parties.
