This Purchase Order is issued by Kabul Dental Care Associates for the procurement of dental equipment, instruments, and consumable supplies intended for use by the Dentist, Dr. Ahmad Karimi, at the clinic located in Darulaman District, Kabul, Afghanistan. All items listed herein are subject to the specifications and quality standards agreed upon between the Dentist and the Vendor.
The Vendor shall deliver all goods to the designated address in Afghanistan Kabul within thirty (30) calendar days from the date of this Purchase Order. Delivery shall be made DDP (Delivered Duty Paid) to the clinic premises in Kabul, Afghanistan. The Vendor is responsible for all transportation, insurance, customs clearance, and import duties applicable to the Republic of Afghanistan.
Payment shall be made within thirty (30) days of the date of this Purchase Order via wire transfer to the Vendor's designated bank account. The Dentist's office in Kabul shall coordinate with the finance department to ensure timely remittance. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
All dental equipment must comply with international medical device standards (ISO 13485) and must be approved for use in Afghanistan by the relevant Afghan Ministry of Health regulatory body. The Vendor shall provide all necessary certificates of conformity, CE markings, and import documentation prior to shipment to Kabul.
The Dentist reserves the right to inspect all delivered items upon arrival at the clinic in Afghanistan Kabul. Any damaged, defective, or non-conforming items must be reported within seven (7) business days of delivery. The Vendor shall replace or repair such items at no additional cost to the Dentist's practice.
A two-year warranty is included on all capital equipment (dental chairs, X-ray machine, autoclaves, compressors). The warranty covers parts and labor for repairs performed by the Vendor's authorized service technician. The Vendor shall arrange for on-site service visits in Kabul, Afghanistan, at no charge during the warranty period.
This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Islamic Republic of Afghanistan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kabul, Afghanistan, in accordance with the rules of the Afghanistan Arbitration Center.
The Vendor acknowledges that the end-user of all purchased items is a licensed Dentist practicing in Kabul, Afghanistan, and that the equipment is intended exclusively for professional dental care delivery to patients in the Afghanistan Kabul region.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to political instability, natural disasters, or government-imposed restrictions on cross-border trade affecting the Afghanistan Kabul corridor.
This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, related to the procurement of dental supplies for the Dentist in Afghanistan Kabul.
