Terms & Conditions of this Purchase Order
- This Purchase Order is issued by Dr. Farhan Ahmed, the registered Dentist and owner of SmileCare Dental Clinic, Banani, Dhaka, Bangladesh, for the procurement of dental equipment and consumable supplies listed above.
- All items must comply with the Bangladesh Dental Council (BDC) regulatory standards and the Bangladesh Standards and Testing Institution (BSTI) certification requirements applicable in Dhaka and the greater Bangladesh region.
- The supplier, MediDent Bangladesh Ltd., shall deliver all goods to the specified address in Dhaka, Bangladesh, no later than 30 June 2025. Late delivery beyond this date shall attract a penalty of 1% of the total order value per day of delay.
- Payment shall be made via bank transfer to the supplier's designated account in Bangladesh. Fifty percent (50%) of the total amount shall be paid as an advance upon confirmation of this Purchase Order, and the remaining fifty percent (50%) shall be settled within seven (7) working days of successful delivery and inspection.
- All imported dental equipment must carry valid CE marking or equivalent international certification. The supplier shall provide all necessary import documentation, including Bill of Lading, Commercial Invoice, Packing List, and Certificate of Origin, to facilitate customs clearance at the Dhaka port or land border.
- The Dentist (buyer) reserves the right to inspect all delivered items within five (5) working days of receipt. Any defective, damaged, or non-conforming goods shall be replaced at the supplier's sole cost within ten (10) working days.
- A warranty period of not less than two (2) years shall apply to all capital equipment (dental chairs, X-ray machine, autoclaves, and handpieces). Consumable items are covered under a 90-day replacement warranty against manufacturing defects.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh.
- The supplier shall provide on-site installation, calibration, and operator training for the dental chair units and X-ray machine at the clinic premises in Dhaka at no additional charge.
- This Purchase Order becomes void if not accepted and countersigned by the supplier within ten (10) calendar days of the issue date.
