- This Purchase Order is issued by Guangzhou Bright Smile Dental Clinic for the procurement of dental equipment and consumable supplies to be delivered to the clinic premises located in China Guangzhou, Tianhe District. All items must comply with the National Medical Products Administration (NMPA) of China and applicable Guangdong Province health regulations.
- The Dentist in charge, Dr. Liang Wei, shall inspect all delivered equipment upon arrival. Any item found to be defective, damaged, or non-conforming to the specifications listed in this Purchase Order must be reported within five (5) business days of delivery. The supplier shall replace or repair non-conforming items at no additional cost to the buyer.
- Delivery of all items shall be completed no later than 05 July 2025 at the buyer's address in China Guangzhou. The supplier is responsible for all transportation, handling, and on-site installation of major equipment (Items 01, 02, 07) within the city of Guangzhou. Installation shall be performed by certified technicians and must include a full operational demonstration for the attending Dentist and clinical staff.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed receipt and acceptance of all goods. The total amount due is CNY 710,896.50 (Seven Hundred Ten Thousand Eight Hundred Ninety-Six Yuan and Fifty Fen) inclusive of 13% VAT.
- All dental equipment supplied under this Purchase Order shall carry a minimum manufacturer's warranty of two (2) years from the date of installation. Consumable items (Items 05 and 06) are warranted to be free from manufacturing defects for a period of twelve (12) months from the date of delivery.
- The supplier guarantees that all products are new, unused, and sourced from authorized manufacturers. Certificates of conformity, NMPA registration numbers, and material safety data sheets must accompany each shipment. Failure to provide proper documentation shall entitle the buyer to reject the affected items and request a full refund for those items.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this agreement shall be resolved through negotiation between the parties. If negotiation fails, the dispute shall be submitted to the Guangzhou International Arbitration Commission (CIETAC Guangzhou) for arbitration in China Guangzhou.
- The Dentist practice reserves the right to modify or cancel this Purchase Order in writing prior to the supplier's confirmation of production or shipment. Cancellation after confirmation shall be subject to a 10% penalty on the value of affected items.
- All communications regarding this Purchase Order shall be directed to the contact persons listed above. This document constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
