NOTE: All dental equipment listed in this Purchase Order is intended for use by the licensed Dentist(s) practicing at Addis Smile Dental Clinic, Addis Ababa, Ethiopia. The supplier shall ensure that all items comply with the Ethiopian Food and Drug Authority (EFDA) registration requirements and meet the standards set by the Ethiopian Dental Association. The Dentist at the receiving clinic will inspect all goods upon delivery and sign the delivery confirmation within 48 hours. 4. TERMS AND CONDITIONS

Delivery: The Supplier shall deliver all items listed in this Purchase Order to the Buyer's dental clinic premises located in Bole Sub-City, Addis Ababa, Ethiopia, no later than 05 July 2025. Delivery shall be DDP (Delivered Duty Paid) to the specified address in Addis Ababa.
Inspection & Acceptance: The lead Dentist, Dr. Selamawit Tesfaye, or her designated assistant, shall inspect all delivered dental equipment and consumables within 48 hours of arrival. Any defects, shortages, or non-conformities must be reported in writing to the Supplier within five (5) business days.
Payment: Payment of the full amount of 1,296,955.00 ETB (One Million Two Hundred Ninety-Six Thousand Nine Hundred Fifty-Five Ethiopian Birr) shall be made via bank transfer to the Supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa branch, within thirty (30) calendar days of the invoice date, subject to satisfactory acceptance of goods by the Dentist.
Warranty: All capital dental equipment (Items 01, 03, 05, and 10) shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation. The Supplier shall coordinate warranty service with the manufacturer's authorized representative in Addis Ababa, Ethiopia.
Regulatory Compliance: The Supplier warrants that all dental products conform to the regulations of the Ethiopian Food and Drug Authority (EFDA) and the Ethiopian Dental Association. Valid EFDA registration certificates shall accompany each shipment. The Dentist at the clinic reserves the right to reject any product lacking proper regulatory documentation.
Installation & Training: The Supplier shall provide on-site installation of the dental chair unit (Item 10) and the autoclave sterilizer (Item 03) at the clinic in Addis Ababa. The Supplier shall also provide a minimum of four (4) hours of hands-on training for the Dentist and clinical staff on the operation and maintenance of all capital equipment.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government import restrictions, foreign exchange availability constraints imposed by the National Bank of Ethiopia, or natural disasters affecting the Addis Ababa region.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any disputes shall be resolved through the Commercial Courts of Addis Ababa.
Confidentiality: Both parties agree to maintain confidentiality regarding the pricing, quantities, and business terms contained in this Purchase Order. This obligation shall survive the completion of the transaction.
