Terms & Conditions — Purchase Order for Dental Practice in Tehran, Iran
- This Purchase Order is governed by the commercial laws of the Islamic Republic of Iran and the regulations set forth by the Iranian Dental Association (IDA) for the procurement of dental equipment and supplies within the Tehran province.
- All dental equipment and materials listed in this Purchase Order must comply with the quality standards established by the Iranian Food and Drug Administration (IFDA) and must carry valid CE or equivalent international certification for use in a licensed dental clinic in Tehran, Iran.
- The supplier, Persian Dental Supply Co., shall deliver all items to the specified dental clinic address in Vali-Asr District, Tehran, Iran, no later than the required delivery date stated above. Late delivery beyond five (5) business days shall incur a penalty of 0.5% of the total Purchase Order value per day.
- Payment shall be processed via bank transfer to the supplier's registered account in an Iranian commercial bank. The 50% advance payment is due within three (3) business days of mutual acceptance of this Purchase Order. The remaining 50% shall be released upon successful delivery, installation, and inspection of all dental equipment at the clinic premises in Tehran.
- All dental equipment items carrying a warranty period as indicated in the itemized table above shall be serviced and repaired at no additional cost by the supplier or its authorized service center within Tehran, Iran, for the duration of the stated warranty.
- The supplier warrants that all consumable dental supplies (composite resins, impression materials, prophylaxis products, and single-use disposables) shall be within their full shelf life at the time of delivery and shall bear proper labeling in both Persian (Farsi) and English as required by Iranian pharmaceutical and dental supply regulations.
- This Purchase Order is valid for acceptance within ten (10) calendar days from the issue date. Failure to confirm acceptance within this period shall render this Purchase Order null and void, and the dental clinic reserves the right to issue a revised Purchase Order to an alternative supplier in Tehran, Iran.
- Any disputes arising from this Purchase Order shall be resolved through the Tehran Commercial Arbitration Center in accordance with Iranian commercial arbitration procedures.
- The dental clinic reserves the right to inspect all delivered items upon arrival. Any damaged, defective, or non-conforming dental equipment or supplies shall be returned to the supplier at the supplier's expense within seven (7) business days of delivery in Tehran.
