1. This Purchase Order is issued by Dr. Youssef Benali, DDS, the practicing Dentist at Clinique Dentaire Atlas, located in the heart of Casablanca, Morocco, and constitutes a binding request for the supply of dental equipment and consumables as itemized above.
2. The Supplier, DentalPro Maroc SARL, acknowledges receipt of this Purchase Order and agrees to fulfill all line items within the specified delivery window. Late delivery beyond 05 July 2025 shall incur a penalty of 0.5% of the total order value per calendar day of delay.
3. All dental equipment must be new, unused, and in original manufacturer packaging. The Dentist reserves the right to inspect and reject any item that does not meet the specifications outlined in this Purchase Order or that fails to meet Moroccan health and safety regulations.
4. Delivery shall be made to the dental practice premises at 124 Boulevard Mohammed V, Casablanca, Morocco. The Supplier is responsible for all transportation, insurance, and installation costs within the Casablanca metropolitan area, as reflected in the delivery fee line item.
5. Payment shall be processed via bank transfer to the Supplier's account at Bank Al-Maghrib, Casablanca branch. The 50% advance payment is due within five (5) business days of Purchase Order confirmation. The remaining 50% balance is due within ten (10) business days following successful delivery, inspection, and installation of all dental equipment.
6. A warranty period of a minimum of two (2) years applies to all capital dental equipment (items 01, 02, 05, and 10). Consumable items (items 03, 04, 06, 07, 08, 09, 11, and 12) carry a standard 90-day defect warranty. The Supplier shall provide on-site technical support in Casablanca for the duration of the warranty period.
7. This Purchase Order is governed by the laws of the Kingdom of Morocco. Any disputes arising from this document shall be resolved through the competent commercial courts of Casablanca, Morocco. Both parties agree to attempt amicable resolution before initiating legal proceedings.
8. The Dentist at Clinique Dentaire Atlas, Casablanca, reserves the right to modify, add, or remove line items from this Purchase Order by issuing a written amendment. No changes shall be effective until confirmed in writing by both parties.
9. All personal data processed under this Purchase Order shall comply with the Moroccan Law 09-08 on the Protection of Personal Data. The Supplier shall not share the Dentist's or the practice's information with third parties without explicit written consent.
10. This Purchase Order is valid for a period of thirty (30) days from the date of issue. If the Supplier does not confirm acceptance within this period, the Purchase Order shall be considered void and may be reissued.
