1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by LLC "Moskva Dental Care Group," a licensed dental practice operating in Moscow, Russia, for the procurement of specialized dental equipment, consumable supplies, and professional-grade instruments required for the continued operation of our dentist clinics. The Buyer operates three (3) outpatient dental offices within the city of Moscow and requires the goods listed below to maintain compliance with the sanitary and epidemiological standards established by the Ministry of Health of the Russian Federation. All items procured under this Purchase Order must meet the GOST (Russian State Standard) certification requirements applicable to medical and dental devices distributed within the Russian Federation.

3. Delivery and Installation Terms

All goods specified in this Purchase Order shall be delivered to the Buyer's primary clinic facility located at 12, Tverskaya Street, Building 4, Moscow, 125009, Russia. The Seller is responsible for transportation, unloading, and on-site installation of all capital equipment (dental chair units, autoclaves, and suction units) within the city of Moscow. Delivery shall be completed no later than 05 July 2025. The Seller shall coordinate delivery schedules with the Buyer's operations manager to minimize disruption to ongoing dental patient appointments. All equipment must be installed, calibrated, and tested in the presence of the Buyer's designated dentist technician before the installation is deemed complete.

4. Payment Terms

Payment for the goods and services under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the Seller's designated account. The payment schedule is as follows: (a) a 40% advance payment (3,818,144.00 RUB) within five (5) business days of mutual signature of this Purchase Order; (b) a 50% balance payment (4,772,680.00 RUB) upon confirmed delivery and successful installation of all items in Moscow; and (c) a 10% retention payment (954,536.00 RUB) payable within thirty (30) days after the expiration of the warranty acceptance period. All payments shall be made to the following account: Bank: AO "Sberbank", Branch: Moscow City Office; Account No.: 40702810400000012345; BIC/SWIFT: SABRRUMM; INN: 7719876543.

5. Warranty and Quality Assurance

The Seller warrants that all goods supplied under this Purchase Order are new, unused, and free from defects in material and workmanship. The warranty period is as follows: dental chair units and autoclaves — thirty-six (36) months; digital X-ray sensors and handpieces — twenty-four (24) months; consumable supplies — twelve (12) months from the date of delivery. All warranty claims must be submitted in writing to the Seller's Moscow office. The Seller shall respond to any warranty claim within ten (10) business days and shall repair or replace defective items at no additional cost to the Buyer. All equipment must carry valid registration certificates issued by Roszdravnadzor (Federal Service for Surveillance in Healthcare) for legal use by a dentist in the Russian Federation.

6. General Conditions and Governing Law

1. This Purchase Order is governed by and shall be interpreted in accordance with the Civil Code of the Russian Federation and applicable federal legislation of the Russian Federation.
2. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation. If negotiation fails, disputes shall be submitted to the Arbitration Court of the City of Moscow, Russia.
3. The Seller shall not assign its obligations under this Purchase Order to any third party without the prior written consent of the Buyer.
4. Force majeure events, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Moscow, Russia, shall relieve the affected party from liability for delayed performance, provided written notice is given within five (5) business days.
5. All technical documentation, user manuals, and service guides must be provided in the Russian language in addition to English.
6. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
