This Purchase Order is issued by ClearSmile Dental Clinic Pte. Ltd., a registered Dentist practice operating in Singapore Singapore, to procure essential dental equipment, clinical consumables, and laboratory materials required for the continued operation of our outpatient dental services. This Purchase Order governs the supply, delivery, and acceptance of all items listed herein in accordance with the regulatory standards set forth by the Singapore Health Sciences Authority (HSA) and the Dental Council of Singapore. All goods supplied under this Purchase Order must comply with the applicable product registration requirements for use by a licensed Dentist in Singapore Singapore.

3. Delivery and Acceptance

All items specified in this Purchase Order shall be delivered to the premises of ClearSmile Dental Clinic Pte. Ltd. at 128 Orchard Road, #05-12, Singapore Singapore 238849. The supplier shall ensure that all dental equipment and materials are delivered in their original, unopened packaging with valid HSA registration numbers clearly displayed. The Dentist in charge at our Singapore Singapore clinic shall inspect all goods upon receipt and sign the delivery acknowledgment within five (5) business days. Any items found to be damaged, expired, or non-conforming to the specifications outlined in this Purchase Order shall be rejected and replaced at the supplier's sole cost within ten (10) business days.

4. Terms and Conditions

This Purchase Order is subject to the laws of the Republic of Singapore Singapore and shall be governed by the Singapore Sale of Goods Act (Cap. 393).
All dental products supplied under this Purchase Order must hold valid registration or notification with the Health Sciences Authority (HSA) of Singapore Singapore prior to delivery.
The supplier warrants that all equipment and materials are new, unused, and free from defects for a minimum period of twenty-four (24) months from the date of delivery.
Payment shall be made via bank transfer to the supplier's designated account in Singapore Singapore within thirty (30) calendar days from the date of the supplier's invoice, provided that all goods have been accepted in full by the Dentist in charge.
The supplier shall provide a comprehensive warranty certificate for all capital equipment (Items 01, 02, 03, and 09) and shall include a minimum of two (2) annual preventive maintenance visits at no additional charge.
Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by both parties. Verbal agreements are not binding.
The supplier shall maintain adequate product liability insurance coverage of no less than SGD 2,000,000 for all goods supplied to this Dentist practice in Singapore Singapore.
Intellectual property and proprietary rights associated with any branded dental products remain with the respective manufacturers. This Purchase Order does not transfer any such rights.
In the event of a dispute arising from this Purchase Order, both parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the Singapore Mediation Centre before any litigation in the courts of Singapore Singapore.
All personal data processed in connection with this Purchase Order shall be handled in accordance with the Personal Data Protection Act (PDPA) of Singapore Singapore.

5. Authorisation and Signatures

This Purchase Order is issued and authorised by the undersigned on behalf of ClearSmile Dental Clinic Pte. Ltd., a Dentist practice duly registered in Singapore Singapore. The supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications set forth herein.
