1. Delivery: All items listed in this Purchase Order shall be delivered to the Seoul Grand Dental Clinic located at 12F, 456 Teheran-ro, Gangnam-gu, Seoul, South Korea 06236. The supplier is responsible for all logistics, customs clearance (if applicable for imported components), and final delivery within the Seoul metropolitan area. Delivery must be completed no later than July 15, 2025.
2. Quality Assurance: All dental equipment and materials must comply with the Medical Device Act of the Republic of Korea and carry valid MSAFDA (Ministry of Food and Drug Safety) certification. The Dentist and clinic staff reserve the right to inspect all goods upon arrival and reject any items that do not meet the specified standards or Korean regulatory requirements.
3. Payment: Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed receipt and acceptance of all goods. The total amount of ₩ 102,332,000 (One Hundred Two Million Three Hundred Thirty-Two Thousand Korean Won) is inclusive of 10% Value Added Tax as mandated by South Korean tax law.
4. Warranty: The supplier guarantees a minimum two-year warranty on all capital dental equipment (Items 01, 02, 07, and 09) and a twelve-month warranty on all consumable and surgical items. Warranty service must be provided within Seoul or the greater Seoul metropolitan area within 48 hours of a reported defect.
5. Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party with a minimum of fourteen (14) days' notice prior to the scheduled delivery date. Cancellations after the production or procurement phase may incur a penalty of up to 20% of the affected line item value.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this document shall be resolved through the Seoul Central District Court.
7. Confidentiality: Both parties agree to maintain confidentiality regarding pricing, business practices, and patient-related data that may be incidentally shared during the fulfillment of this Purchase Order, in compliance with the Personal Information Protection Act of South Korea.
• Installation and calibration of the Digital Dental X-Ray Imaging System (Item 01) and Autoclave Sterilizers (Item 07) must be performed by certified technicians at the clinic premises in Gangnam-gu, Seoul.
• All dental consumables (Items 03–06, 08, 10) must be stored in a climate-controlled environment and delivered with valid expiration dates of no less than 18 months from the date of delivery.
• The supplier must provide a detailed packing list and Korean-language user manuals for all equipment. English manuals are acceptable as a supplement.
• This Purchase Order is issued by the procurement department of Seoul Grand Dental Clinic, a licensed dental practice operating under the supervision of a registered Dentist in Seoul, South Korea. All transactions are subject to the clinic's internal financial approval protocols.
