- This Purchase Order is issued by Swiss Dental Practice AG, a registered dental clinic operating in the city of Zurich, Switzerland, and is governed by the Swiss Code of Obligations (OR) and applicable cantonal regulations of the Canton of Zurich.
- All dental equipment and consumables listed above must comply with the Swiss Medical Device Ordinance (MedDevV) and carry valid CE or Swissmedic certification prior to delivery at the Zurich practice premises.
- The vendor, DentalPro Europe GmbH, shall deliver all items to the specified address in 8001 Zurich no later than 28 June 2025. Late delivery shall incur a penalty of 0.5% of the total order value per calendar day of delay, capped at 10% of the total.
- Payment shall be made via Swiss bank transfer (IBAN: CH93 0076 2011 6238 5295 7) to the vendor's account within thirty (30) calendar days of receipt of a valid invoice. All amounts are denominated in Swiss Francs (CHF) to avoid foreign exchange risk within the Swiss domestic market.
- The vendor warrants that all dental products are new, unused, and free from defects. A minimum warranty period of twenty-four (24) months applies to all capital equipment (X-ray sensors, curing lights, handpieces), and twelve (12) months applies to consumables and sterilization supplies.
- Swiss Dental Practice AG reserves the right to inspect all delivered dental goods upon arrival at the Zurich facility. Any items found damaged, incorrect, or non-compliant with Swiss dental regulatory standards must be replaced or credited within five (5) business days at the vendor's sole expense.
- This Purchase Order does not constitute a long-term supply agreement. Each subsequent order for dental materials to the Zurich practice shall require a new, separately numbered Purchase Order issued by the procurement department of Swiss Dental Practice AG.
- In the event of any dispute arising from this Purchase Order, the parties agree to seek mediation through the Zurich Chamber of Commerce before initiating any legal proceedings. The exclusive jurisdiction for any litigation shall be the courts of the City of Zurich, Switzerland.
- All personal data processed in connection with this Purchase Order shall be handled in accordance with the Swiss Federal Act on Data Protection (FADP / DSG) and the applicable provisions of the Swiss Data Protection Ordinance.
- This document is valid only when signed and stamped by an authorized representative of Swiss Dental Practice AG. Electronic signatures in accordance with the Swiss Federal Act on Electronic Signatures are equally valid.
