This Purchase Order is issued by Green Valley Corporate Wellness Ltd. to formally engage the services of a qualified Dietitian for the purpose of delivering comprehensive nutritional counseling, dietary planning, and corporate wellness programs within the premises and associated facilities located in Bangladesh Dhaka. The Dietitian shall provide professional guidance to approximately 350 employees of the purchasing organization, addressing dietary needs, weight management, chronic disease nutrition (diabetes, hypertension, cardiovascular conditions), and general health optimization in accordance with the dietary guidelines established by the Bangladesh National Nutrition Council.

The scope of this Purchase Order encompasses the following specific deliverables from the Dietitian:

• Monthly On-Site Consultations: The Dietitian shall conduct a minimum of four (4) half-day on-site sessions per month at the Bangladesh Dhaka headquarters, providing one-on-one dietary assessments and personalized meal planning for enrolled employees.
• Group Nutritional Workshops: Two (2) group workshops per month (each session not exceeding 40 participants) covering topics such as balanced Bangladeshi cuisine, sugar and salt reduction, hydration, and workplace nutrition strategies.
• Corporate Meal Audit: A quarterly review of the company cafeteria menu in Bangladesh Dhaka, with written recommendations for nutritional improvement, portion sizing, and ingredient substitution.
• Individualized Diet Plans: Development of customized 30-day dietary plans for employees with specific medical conditions, including follow-up tele-consultations via video call.
• Annual Wellness Report: A comprehensive written report summarizing the nutritional health status of the workforce, trends observed, and strategic recommendations for the following fiscal year.

Payment Terms: Payment shall be made in quarterly installments within fifteen (15) working days of receipt of the Dietitian's invoice. The first installment of BDT 555,187.50 shall be due within 15 days of the effective date of this Purchase Order. All payments shall be processed via bank transfer to the account specified in Section 2. No payment shall be due until the Dietitian has submitted a written progress report for the corresponding quarter.

1. This Purchase Order is valid for a period of twelve (12) months commencing from 01 July 2025 and shall automatically renew for successive 12-month periods unless either party provides sixty (60) days' written notice of non-renewal.
2. The Dietitian shall maintain full professional liability insurance and shall comply with all ethical standards set forth by the Bangladesh Dietetic Association and the Bangladesh Medical and Dental Council where applicable.
3. All client data, health records, and dietary information collected by the Dietitian in Bangladesh Dhaka shall be treated as strictly confidential. No data shall be shared with third parties without the explicit written consent of the employee concerned, in compliance with the Digital Security Act 2018 of Bangladesh.
4. The Dietitian shall use only evidence-based nutritional guidelines and shall not prescribe pharmaceutical interventions. Any referral to a physician shall be made in writing to the purchasing party's designated medical officer.
5. In the event of the Dietitian's unavailability due to illness or emergency, a qualified substitute Dietitian of equivalent credentials must be arranged within 48 hours, subject to prior approval by the purchasing party.
6. Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act 2001 of Bangladesh, with the seat of arbitration in Dhaka.
7. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
8. The Dietitian shall submit all reports and deliverables in English, with optional Bengali translations for employee-facing materials as required by the purchasing party.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Dietitian's professional services in Bangladesh Dhaka. The terms outlined herein supersede any prior verbal or written communications regarding the scope of nutritional services.
