- This Purchase Order is issued by Montreal Wellness & Corporate Health Inc. for the engagement of a licensed Dietitian to deliver nutritional services to employees and stakeholders located primarily in Canada Montreal and its surrounding metropolitan area.
- The Dietitian, Dr. Émilie Tremblay, RD, MSc, shall maintain active membership in good standing with the Ordre des diététistes du Québec and shall comply with all professional standards, ethical guidelines, and regulatory requirements established by the provincial regulatory body in Canada.
- All services described in this Purchase Order shall be delivered in accordance with the Canadian Dietary Guidelines and shall reflect the cultural, linguistic, and dietary diversity of the Montreal, Canada population. Services shall be available in both English and French.
- The Dietitian shall provide a minimum of 48 hours' written notice for any cancellation or rescheduling of in-person sessions at the Canada Montreal office. Telehealth sessions may be rescheduled with 24 hours' notice.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-MTL-DIET-0047) and include the vendor's QST registration number for compliance with Canadian tax regulations.
- All nutritional data, employee health records, and personal information collected by the Dietitian during the course of service delivery in Canada Montreal shall be handled in strict compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Quebec privacy legislation (Law 25).
- The Dietitian shall submit monthly progress reports detailing session attendance, nutritional outcomes, and any recommended program modifications. These reports shall be delivered to the procurement department of Montreal Wellness & Corporate Health Inc. by the fifth business day of each month.
- This Purchase Order may be amended only by mutual written agreement between both parties. Any changes to scope, pricing, or service delivery locations within Canada Montreal must be documented in a formal amendment attached to this Purchase Order.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should resolution not be achieved within thirty (30) days, the matter shall be submitted to mediation under the rules of the Quebec Civil Code, with jurisdiction in the courts of Montreal, Canada.
- This Purchase Order shall remain in full force and effect for the twelve-month service period commencing July 1, 2025, and expiring June 30, 2026, unless terminated earlier in accordance with the provisions herein.
