This Purchase Order is issued by Beijing Wellness & Nutrition Group Co., Ltd. (hereinafter referred to as the "Purchaser") to engage the services of a qualified Dietitian for the provision of comprehensive nutritional counseling, dietary planning, and clinical nutrition support services within the municipality of Beijing, China. This Purchase Order constitutes a binding agreement between the Purchaser and the Dietitian service provider for the duration specified herein, and all terms are governed by the laws of the People's Republic of China.

The Dietitian engaged under this Purchase Order shall provide the following professional services at the Purchaser's primary facility located in Xicheng District, Beijing, China, as well as at satellite clinics in Haidian and Dongcheng Districts:

• Individualized dietary assessment and nutritional counseling for a minimum of 200 patients per month;
• Development of evidence-based meal plans tailored to Chinese dietary traditions, incorporating local ingredients available in Beijing markets;
• Clinical nutrition management for patients with diabetes, hypertension, obesity, and cardiovascular conditions;
• Group nutrition education workshops (minimum 4 sessions per month) conducted in Mandarin Chinese;
• Collaboration with the Purchaser's medical staff on inpatient dietary protocols;
• Monthly nutritional audit reports submitted to the Purchaser's management team in Beijing.

All payments under this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Dietitian's designated account in Beijing. Payment shall be rendered within thirty (30) calendar days from the date of invoice receipt. Invoices must be issued in accordance with the regulations of the State Taxation Administration of the People's Republic of China and must include the vendor's Unified Social Credit Code. The Purchaser reserves the right to withhold payment for any services not rendered to the professional standard expected of a licensed Dietitian in China.

The Dietitian shall maintain a valid practice license issued by the relevant health authority in Beijing, China, and shall comply with all regulations set forth by the National Health Commission of the People's Republic of China. All dietary recommendations and nutritional interventions must adhere to the Chinese Dietary Guidelines (2022 edition) published by the Chinese Nutrition Society. The Dietitian shall carry professional liability insurance with a minimum coverage of CNY 1,000,000, valid throughout the contract period in Beijing.

The Dietitian acknowledges that all patient information accessed during the provision of services in Beijing, China, is subject to the Personal Information Protection Law of the People's Republic of China (effective 1 November 2021). No patient data shall be transferred outside the territory of China without explicit written consent from the Purchaser and the affected individual. All records shall be stored on servers physically located within Beijing.

Either party may terminate this Purchase Order with sixty (60) days' written notice delivered to the other party's registered address in Beijing, China. In the event of material breach by the Dietitian, including but not limited to loss of professional license, the Purchaser may terminate this Purchase Order immediately upon written notice. Upon termination, the Dietitian shall return all proprietary materials and patient records belonging to the Purchaser within seven (7) business days.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation in Beijing. Should negotiation fail, disputes shall be submitted to the Beijing Arbitration Commission for arbitration in accordance with its rules. The language of arbitration shall be Chinese.

This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. This document is issued in two (2) original copies, one for each party, both bearing equal legal effect. All communications regarding this Purchase Order shall be directed to the addresses listed above in Beijing, China.
