This Purchase Order is issued by Shanghai Meridian Health & Wellness Group Co., Ltd. (hereinafter referred to as the "Buyer") to Shanghai NutriCare Dietetics Consulting Ltd. (hereinafter referred to as the "Seller") for the engagement of a qualified Dietitian to provide comprehensive nutritional assessment, dietary planning, and ongoing wellness consultation services to the Buyer's corporate employees located in China Shanghai. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements related to the procurement of Dietitian professional services as detailed herein.

All payments under this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the Seller's designated account. Payment shall be structured as follows: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of the initial assessment and dietary plan delivery phase; and the remaining 30% upon final acceptance of all services rendered by 31 December 2025. Invoices must reference Purchase Order number SH-2025-DT-04782. Late payments shall incur a penalty of 0.05% per calendar day as stipulated under the Civil Code of the People's Republic of China.
All Dietitian services shall be performed at the Buyer's primary office located in Pudong New Area, China Shanghai, unless otherwise agreed in writing. The Seller shall ensure that the assigned Dietitian holds a valid National Registered Dietitian (NRD) certification issued by the Chinese Nutrition Society and maintains current professional liability insurance. All service deliverables, including dietary plans and workshop materials, shall be provided in both Simplified Chinese and English to accommodate the multinational workforce in China Shanghai.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai.
- The Seller warrants that the Dietitian engaged under this Purchase Order shall comply with all applicable regulations of the National Health Commission of China and the China Shanghai Municipal Health Administration.
- Confidentiality: All employee health data, dietary records, and personal information collected by the Dietitian shall be treated as strictly confidential in accordance with the Personal Information Protection Law of the People's Republic of China (PIPL, effective 1 November 2021).
- The Buyer reserves the right to terminate this Purchase Order with 30 days' written notice if the Seller fails to meet the agreed service standards or if the Dietitian's professional certification lapses.
- Force majeure events, including but not limited to public health emergencies affecting operations in China Shanghai, shall be addressed through mutual consultation in good faith.
- All intellectual property created specifically for the Buyer under this Purchase Order, including customized dietary plans and canteen menu designs, shall vest in the Buyer upon full payment.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Dietitian services and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of Dietitian professional services in China Shanghai.
