This Purchase Order is issued by Clinique Nutritionnelle du Vieux-Port to engage the services of a qualified Dietitian for the provision of clinical nutrition consultations, therapeutic dietary planning, and patient follow-up programmes within the city of Marseille and its surrounding metropolitan area (Métropole Aix-Marseille-Provence). The Dietitian shall deliver all services in accordance with the French Public Health Code (Code de la santé publique), the professional code of ethics of the Ordre des Diététiciens de France, and the specific clinical protocols established by the purchasing entity.

All services under this Purchase Order shall be performed at the premises of Clinique Nutritionnelle du Vieux-Port, 27 Rue de la République, 13002 Marseille, France, or at such other location within the Marseille metropolitan area as mutually agreed in writing. The Dietitian is expected to be available on-site in Marseille a minimum of four (4) days per week, Monday through Thursday, between the hours of 08:30 and 18:00, with additional availability on Friday mornings for group workshops. Travel within the city of Marseille and its immediate arrondissements (13001 through 13016) is included in the contracted rates. Any service delivery outside the Métropole Aix-Marseille-Provence boundary shall be subject to a separate written amendment to this Purchase Order.

Payment shall be made via bank transfer (virement bancaire) to the Dietitian’s designated account within thirty (30) calendar days of receipt of a valid invoice (facture) conforming to French invoicing regulations (Article 286 of the Code de commerce).
Invoices must include the Dietitian’s SIRET number, TVA identification number, the applicable VAT rate (20% standard rate for professional services in France), and a reference to this Purchase Order number (PO-2025-MRS-0472).
Payment shall be directed to: Banque Populaire du Sud, IBAN: FR76 3000 6000 0112 3456 7890 123, BIC: BPVSFRPP.
Late payments shall incur statutory interest at the rate prescribed by Article L441-10 of the French Commercial Code, plus a fixed indemnity of €40 for recovery costs.
No payment shall be due for services not rendered or for sessions cancelled by the Dietitian with less than 48 hours’ prior written notice.

The Dietitian warrants that she holds a valid Diplôme d’État de Diététicien and is registered in good standing with the Ordre des Diététiciens de France. She shall maintain this registration throughout the term of this Purchase Order and provide proof of registration upon request.
All patient data processed under this Purchase Order shall be handled in strict compliance with the General Data Protection Regulation (GDPR / Réglement Général sur la Protection des Données) and the French Data Protection Act (Loi Informatique et Libertés, as amended). Patient records shall be stored in accordance with the French Public Health Code provisions on medical secrecy (Article L1110-4).
The Dietitian shall adhere to the French national dietary guidelines (Recommandations Alimentaires Nutritionnelles — RAN) issued by ANSES and the specific clinical nutrition protocols of the purchasing entity.
The Dietitian shall maintain professional liability insurance with a minimum coverage of €2,000,000 per claim, valid throughout the service period, and shall provide a certificate of insurance prior to the commencement of services.
The Dietitian shall comply with all applicable regulations of the Agence Régionale de Santé (ARS) Provence-Alpes-Côte d’Azur governing the practice of dietetics in the Marseille region.
The Dietitian shall not subcontract any portion of the services without the prior written consent of the purchasing entity.

This Purchase Order shall be effective from 1 July 2025 and shall remain in force for a period of three (3) months, expiring on 30 September 2025, unless renewed in writing by both parties.
Either party may terminate this Purchase Order with thirty (30) days’ written notice by registered letter with acknowledgment of receipt (lettre recommandée avec accusé de réception) delivered to the address specified in Sections 1 or 2 above.
Upon termination, the Dietitian shall complete all consultations already scheduled and shall deliver all outstanding written dietary plans and clinical reports within fifteen (15) days.
Termination shall not affect any accrued payment obligations or any liability arising from services rendered prior to the effective date of termination.

This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Failing resolution within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, 13002 Marseille, France. The parties acknowledge that the services described herein are performed in the city of Marseille, Bouches-du-Rhône, and that the local commercial court of Marseille is the appropriate forum for any legal proceedings.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for Dietitian services in Marseille, France. This document constitutes a binding commercial agreement between the parties.
