1. This Purchase Order is issued by Shibuya Wellness Corporate Group, Inc. for the procurement of professional Dietitian services to be rendered within the Japan Tokyo metropolitan area. All services must be performed by a licensed Dietitian registered with the Japan Dietetic Association.
2. The Dietitian or the Dietitian's designated team shall comply with all applicable Japanese health and safety regulations, including the Act on Securing Quality, Etc. of Medical Care and the Food Sanitation Act, throughout the duration of this engagement in Japan Tokyo.
3. Payment shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Japanese commercial law.
4. The Dietitian shall maintain full confidentiality of all employee health data in accordance with Japan's Act on the Protection of Personal Information (APPI). No data shall be transferred outside of Japan Tokyo or the broader Japanese jurisdiction without written consent.
5. Cancellation or modification of this Purchase Order requires written notice at least fourteen (14) days prior to the scheduled service date. A cancellation fee of 20% of the remaining contract value shall apply for cancellations within the 14-day window.
6. The Dietitian shall provide a written progress report to the purchasing entity's Human Resources Director every quarter, detailing employee participation rates, health outcome improvements, and any adjustments to the nutrition program being delivered in Japan Tokyo.
7. This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan Tokyo, under the rules of the Japan Commercial Arbitration Association.
NOTE: This Purchase Order is specifically tailored for Dietitian services operating within the Japan Tokyo region. All service delivery locations, regulatory references, and tax calculations are aligned with the Japan Tokyo municipal and national framework. The purchasing entity reserves the right to request a substitute Dietitian of equivalent or higher qualification should the primary Dietitian be unavailable, provided the substitute holds a valid registration with the Japan Dietetic Association and is based in or accessible to the Japan Tokyo area.
