Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Auckland Regional Health Services Ltd. and constitutes a binding request for the provision of Dietitian professional services within the New Zealand Auckland metropolitan area and its surrounding regions.
- The Supplier, North Shore Dietitian Associates Ltd., confirms that the lead Dietitian, Ms. Sarah Kaur, holds current registration with Dietitians New Zealand and maintains professional indemnity insurance of no less than NZD $10,000,000 for the duration of this engagement.
- All Dietitian consultations, workshops, and on-site services shall be conducted in accordance with the New Zealand Health and Disability Commissioner's Code of Health and Disability Services Consumers' Rights, as well as the professional code of ethics maintained by Dietitians New Zealand.
- Payment terms: Net 30 days from the date of a valid tax invoice. Payment shall be made via electronic funds transfer (EFT) to the Supplier's designated New Zealand bank account. All amounts are quoted in New Zealand Dollars (NZD) inclusive of applicable GST at the current rate of 15%.
- The Supplier shall deliver all printed and digital Dietitian resource materials to the Buyer's Auckland CBD office no later than 14 business days prior to the commencement of the corporate wellness programme.
- Any variation to the scope of Dietitian services outlined in this Purchase Order must be agreed in writing by both parties. No additional charges will be accepted without a formally issued Purchase Order amendment.
- The Supplier warrants that all nutritional advice, meal plans, and dietary recommendations provided by the Dietitian team shall be evidence-based, culturally sensitive, and compliant with New Zealand food safety standards administered by the Ministry for Primary Industries (MPI).
- Confidentiality: All patient and employee health information accessed by the Dietitian during the course of this engagement shall be treated in strict confidence in accordance with the New Zealand Privacy Act 2020. Data shall be stored on servers located within New Zealand.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Buyer shall be liable for all Dietitian services rendered up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be resolved through the Dispute Resolution Service of the New Zealand Disputes Tribunal, Auckland District.
- This Purchase Order is valid for a period of three (3) months from the date of issue. If not accepted and signed by the Supplier within this period, it shall lapse automatically.
