The scope of this Purchase Order covers the provision of comprehensive dietary assessment, nutritional counseling, meal planning, and ongoing dietary management services for the corporate employees of the Buyer located in Saudi Arabia Riyadh. The Dietitian services shall be delivered in accordance with the Saudi Food and Drug Authority (SFDA) regulations and the standards set forth by the Saudi Commission for Health Specialties (SCFHS).

All Dietitian services specified in this Purchase Order shall be performed at the Buyer's primary corporate facility located in Al Olaya District, Riyadh, Saudi Arabia, unless otherwise agreed in writing. The Lead Dietitian, Dr. Sarah Al-Otaibi, holds a valid professional license issued by the Saudi Commission for Health Specialties and is registered with the Saudi Dietitians Association. All supporting dietitians assigned under this Purchase Order must possess equivalent qualifications and valid practicing licenses in Saudi Arabia. The Dietitian team shall adhere to all applicable Saudi Arabian health and safety regulations, data protection laws, and corporate confidentiality policies throughout the engagement period.

• 3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. The Dietitian services shall commence no later than 15 July 2025 and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 3.7.
• 3.2 Payment shall be made via bank transfer to the Seller's designated account in Saudi Arabia within thirty (30) days of receipt of a valid tax invoice. The Seller shall issue invoices in Saudi Riyal (SAR) with applicable 15% VAT as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
• 3.3 The Seller guarantees that the Dietitian and all supporting staff assigned to this Purchase Order shall maintain professional indemnity insurance with a minimum coverage of SAR 1,000,000 throughout the service period in Saudi Arabia Riyadh.
• 3.4 All dietary records, patient data, and nutritional assessments generated under this Purchase Order shall be treated as strictly confidential. The Seller shall comply with the Saudi Personal Data Protection Law and shall not disclose any employee health information to third parties without written consent from the Buyer.
• 3.5 The Seller shall provide a monthly progress report to the Buyer's Procurement Manager detailing the number of Dietitian consultations conducted, workshops delivered, and any notable dietary trends observed among the employee population in Riyadh, Saudi Arabia.
• 3.6 In the event of non-performance or substandard delivery of Dietitian services, the Buyer reserves the right to issue a formal notice of deficiency. The Seller shall have fourteen (14) calendar days to rectify the identified issues. Failure to rectify shall entitle the Buyer to terminate this Purchase Order without penalty and seek a pro-rata refund of fees paid for undelivered services.
• 3.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Seller shall complete all in-progress Dietitian consultations and deliver all outstanding reports within the notice period.
• 3.8 This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Riyadh, Saudi Arabia.
• 3.9 The Seller shall ensure that all dietary recommendations provided by the Dietitian are culturally appropriate for the Saudi Arabian population and compliant with Islamic dietary (Halal) guidelines. No dietary plan shall include ingredients or recommendations that conflict with Halal standards as recognized in Saudi Arabia.
• 3.10 Any amendments, modifications, or additions to this Purchase Order must be documented in a written addendum signed by both parties. Verbal agreements regarding the scope of Dietitian services shall not be enforceable.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Dietitian services in Saudi Arabia Riyadh. This Purchase Order is executed in two (2) original copies, one for each party.
