- This Purchase Order is issued by Bosphorus Wellness Group A.Ş. and constitutes a binding agreement for the procurement of professional Dietitian services to be delivered in Turkey Istanbul. The Dietitian named herein, Dr. Elif Kaya, acknowledges acceptance of all terms upon countersignature.
- All services described in this Purchase Order shall be performed at the Bosphorus Wellness Group corporate premises located in the Levent district of Turkey Istanbul, unless otherwise specified in the line items above. The Dietitian is responsible for transporting all necessary equipment, including body composition analyzers, nutritional assessment software, and printed meal plan materials, to the Turkey Istanbul service location.
- The Dietitian shall maintain full professional liability insurance coverage in accordance with the regulations of the Turkish Ministry of Health and the Turkish Association of Dietitians (Türk Diyetisyenler Derneği). A valid certificate of insurance shall be provided to the procurement department prior to the commencement of services in Turkey Istanbul.
- Payment terms: Net 30 days from the date of invoice submission. Payment shall be made via bank transfer to the Dietitian's registered account. Invoices must reference this Purchase Order number (PO-2025-IST-0487) and include the Turkish Tax ID (VKN) of the Dietitian. All amounts are denominated in Turkish Lira (TRY) and are subject to the applicable 20% Value Added Tax (KDV) as per Turkish fiscal law.
- The Dietitian shall comply with all data protection obligations under the Turkish Personal Data Protection Law (KVKK – Law No. 6698). All employee health data collected during nutritional assessments in Turkey Istanbul shall be stored securely, processed solely for the purposes outlined in this Purchase Order, and shall not be disclosed to any third party without written consent from Bosphorus Wellness Group A.Ş.
- Service quality: The Dietitian commits to delivering all consultations, workshops, and follow-up sessions in a professional and timely manner. Any session cancelled by the Dietitian with less than 48 hours' notice shall be rescheduled at no additional cost to Bosphorus Wellness Group within 5 business days.
- This Purchase Order may be amended only by mutual written agreement between both parties. Any changes to scope, pricing, or service delivery in Turkey Istanbul must be documented in a formal amendment annex attached to this Purchase Order.
- Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts in Turkey Istanbul, in accordance with the Turkish Code of Obligations (Türk Borçlar Kanunu) and applicable commercial law.
- This Purchase Order is valid for a period of 30 calendar days from the date of issue. If the Dietitian does not accept and return a signed copy within this period, this Purchase Order shall automatically lapse.
- All intellectual property rights in the annual nutrition report (Line Item 5) shall vest exclusively in Bosphorus Wellness Group A.Ş. The Dietitian retains the right to use anonymized, aggregate data for academic publication with prior written approval.
