This Purchase Order is issued by Al Noor Corporate Wellness Group LLC to formally engage the professional services of a qualified Dietitian and associated nutrition specialists provided by Emirates Nutrition & Dietetics Center. The Dietitian services shall be delivered on-site at the buyer's corporate facilities located in Abu Dhabi, United Arab Emirates, and shall encompass comprehensive nutritional assessment, personalized dietary planning, employee wellness workshops, and ongoing dietary monitoring for a workforce of approximately 350 employees. The Dietitian shall hold valid registration with the Abu Dhabi Department of Health (DoH) and possess a minimum of eight (8) years of post-qualification clinical experience in corporate and preventive nutrition.

1. This Purchase Order is governed by the laws of the United Arab Emirates and shall be interpreted in accordance with the Federal Commercial Transactions Law. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Abu Dhabi, United Arab Emirates.
2. The Dietitian and all associated nutrition professionals engaged under this Purchase Order must maintain valid professional licenses issued by the Abu Dhabi Department of Health and shall provide copies of such credentials prior to the commencement of services.
3. All Dietitian services shall be performed in a professional, confidential, and culturally sensitive manner consistent with the standards of practice in the United Arab Emirates Abu Dhabi healthcare and wellness sector.
4. The Seller (Emirates Nutrition & Dietetics Center) shall not subcontract any Dietitian services without prior written consent from the Buyer. Any approved subcontracted Dietitian must meet the same qualification standards specified herein.
5. Payment shall be made via bank transfer to the Seller's designated account in AED within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under UAE commercial law.
6. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the Seller, including but not limited to the unavailability of the Lead Dietitian for more than five (5) consecutive working days without a qualified replacement.
7. All dietary records, patient data, and nutritional assessments generated by the Dietitian in the course of this engagement shall remain the exclusive property of the Buyer and shall be handled in strict compliance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
8. The Seller shall provide a monthly service report detailing all Dietitian consultations conducted, workshops delivered, and recommendations issued. Failure to submit reports for two consecutive months shall constitute a material breach of this Purchase Order.
9. Force majeure events, including but not limited to government-mandated closures in Abu Dhabi or the wider United Arab Emirates, shall suspend obligations under this Purchase Order without penalty to either party for the duration of the event.
10. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Dietitian services and supersedes all prior negotiations, representations, or agreements. Amendments must be made in writing and signed by authorized representatives of both parties.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of Dietitian services outlined in this Purchase Order. This document is valid for a service period commencing 01 July 2025 and concluding 31 December 2025, unless extended by mutual written agreement.
